Article1

Definitions

ForthepurposesofthisAgreement;

theterm"investment"meanseverykind

aninvestorofaContractingPartyinthe

exclusivelyincludes:

thereciprocalpromotionand

ulateprivatebusinessinitiative

ingParties,

fasset,ownedorcontrolledby

rioroftheotherContracting

onandinparticular,butnot

rights:

interestsincompaniesaswellas

Partyoranyofitsinvestors:

pledges,usufructsandsimilar

uritiesissuedbyaContracting

secrets,tradenames,good-will;

}trademarks,tradeandbusiness

publiccontractoranylicenses,

torexplorenaturalresources

whichtheinvestmentismade.

theterm"returns"meanstheamountsyieldedbyaninvestmentin

particular,butnotexclusivelyincludesprofit,dividends,royalties,capital

gainsoranysimilarfeesorpayments;

theterm"investor"means:

a)inrespectoftheKingdomofSaudiArabia:

i)naturalpersonspossessingthenationalityoftheKingdomof

SaudiArabiainaccordancewiththelawoftheKingdomof

SaudiArabia:

ii)anyentityhavinglegalpersopalityconstitutedinaccordance

withthelawsoftheKingdomofSaudiArabiaandhavingits

headofficeinitsterritorysuchascorporations,enterprises,

cooperatives,companies,erships,offices,establishments,

funds,organizations,businessassociationsand‘othersimilar

entitiesirrespectiveofwhetherornottheyareoflimited

liability;

iii)theGovernmentoftheKingdomofSaudiArabiaandits

financialinstitutionsandauthoritiessuchastheSaudiArabian

MonetaryAgency,publicfundsandothersimilargovernmental

institutionsexistinginSaudiArabia.

b)inrespectoftheRepublicofUzbekistan:

i)naturalpersonbeingthenationalityoftherepublicofUzbekistan

andauthorizedinaccordancewithnationallegislationofthe

RepublicofUzbekistantomake|investmentsintheterritoryof

StateofotherContractingParty;

ii)anylegalpersonconstitutedunderthenationallegislationofthe

RepublicofUzbekistan,subjecttothatsuchlegalpersonis

authorizedaccordingtonational|legislationoftheRepublicof

UzbekistantomakeinvestmentsintheterritoryofStateofother

ContractingParty;

iii)theGovernmentoftheRepublicofUzbekistananditsauthorized

body.

Theterm“territory”shallmean,withregardtoeitherContractingParty,

theterritoryoftheStateofaContractingParty,includingland,airspace,

internalwaters,territorialsea,anyareabeyondtheterritorialseawhichhas

beenormayhereafterbedesignatedunderthenationallegislationofa

ContractingPartyandinaccordancewithinternationallaw,asanareaover

whichtheStateofaContractingPartymayexercisesovereignrightsor

jurisdiction.
