Statute of the Transport General Authority

Article 1

Previous Amendments
  • The following phrases and terms - wherever they appear in this regulation - shall have the meanings indicated next to them, unless the context requires otherwise:

    • Minister: Minister of Transport.

    • Authority: Transport General Authority.

    • Council: Board of Directors of the Authority.

    • President: President of the Authority.

    • Regulation: Regulation of the Authority.

    • Transfer: The transfer of passengers and goods for hire by means of transport within the cities of the Kingdom and between them and to other countries, excluding air transport.

    • 1 - Means of transport: Vehicles, trucks, buses, trains, and marine vessels of various types.

    • 2 - Transport mediums: Roads, railways, and sea.

  • The authority enjoys legal personality and financial and administrative independence, and is organizationally linked to the Minister.

Article 3

The Authority shall be headquartered in the city of Riyadh, and may establish branches and offices within the Kingdom.

  • The Authority shall have a Board of Directors chaired by the Minister, and the membership shall be as follows:

    • A- Chairman of the Authority.

    • B- A representative from the Ministry of Interior.

    • C- A representative from the Ministry of Transport and Logistic Services.

    • D- A representative from the Ministry of Municipal and Housing Affairs.

    • E- A representative from the Ministry of Finance.

    • F- A representative from the Ministry of Economy and Planning.

    • G- A representative from the Ministry of Commerce.

    • H- A representative from the Ministry of Human Resources and Social Development.

    • I- A representative from the Ministry of Investment.

    • J- A representative from the General Panel for Roads.

    • K- A representative from the Ministry of Energy.

    • L- Three members from the private sector related to the transport activity, appointed by a decision of the Council of Ministers based on a nomination from the Minister.

  • 2- The rank of representatives of government agencies shall not be less than (fourteenth grade) or its equivalent.

  • 3- The remuneration of the Board members shall be determined by a decision of the Council of Ministers.

Article 6

Previous Amendments
  • The Council is the supreme authority of the body, responsible for overseeing it and managing its affairs. It has the authority to take the necessary decisions and procedures to achieve its objectives in accordance with the provisions of this regulation, and it specifically has the following powers:

    • 1- Overseeing the implementation of the tasks assigned to the body.

    • 2- Approving the policies, plans, and programs that achieve the body's objectives.

    • 3- Issuing administrative and financial regulations that govern the body in agreement with the Ministry of Finance and the Ministry of Civil Service, as well as other internal regulations.

    • 4- Approving the organizational structure of the body.

    • 5- Proposing the financial fees for the licenses and permits granted by the body and submitting them to the relevant authorities for approval.

    • 6- Approving the establishment of branches and offices for the body within the Kingdom.

    • 7- Approving the investment of the body's funds in a manner that achieves its purposes, and investing in and leasing real estate in accordance with the applicable laws.

    • 8- Appointing an external auditor and an internal financial controller.

    • 9- Approving the draft budget of the body and its final accounts and the auditor's report, in preparation for their approval in accordance with the applicable legal procedures.

    • 10- Approving the annual report of the body's activities.

    • 11- Accepting donations, grants, endowments, and bequests in accordance with the applicable laws.

    • 12- Approving the conclusion of agreements, protocols, and contracts, and authorizing the President of the body to sign them.

    • 13- Reviewing the periodic reports submitted regarding the progress of work in the body and its financial position.

  • The Council may delegate its President, Vice President, or any member of the Board of Directors or staff of the body with some of its powers.

Article 7

Previous Amendments
  • 1- The Council meetings are held at the headquarters of the Authority, and may, when necessary, be held at another location within the Kingdom.

  • 2- The Council holds its meetings periodically four times a year, and the Chairman of the Council may call for a meeting whenever needed or upon the request of at least three members.

  • 3- A Council meeting is valid if attended by the majority of the members, including the Chairman or his representative from the governmental entities that are members of the Council, and decisions are made by a majority of the votes of those present. In the event of a tie, the side that the Chairman votes with prevails.

  • 4- The deliberations and decisions of the Council are recorded in minutes signed by the Chairman of the meeting and the attending members.

  • 5- A member of the Council may not abstain from voting or delegate another member to vote on their behalf in their absence, and the dissenting member has the right to record their objection and the reasons for it in the minutes of the Council meeting.

  • 6- A member may not disclose any information they have obtained regarding the secrets of the Authority due to their membership in the Council.

  • 7- The Council may invite specialists and consultants whom it deems necessary to attend its meetings, without them having the right to vote.

Article 8

The Board may form standing or ad hoc committees from among its members or others and assign certain tasks thereto. The formation decision of each committee shall designate its chairman and members and shall determine its powers. Such committees may seek the assistance of any person it deems appropriate to perform the tasks assigned thereto.

Previous Amendments
  • The Authority shall have a President at the (excellent) rank, appointed by a royal decree based on the recommendation of the Council President.

Article 10

The President shall assume the following powers and duties:
1. Supervising the Authority’s activities to ensure their conformity with the approved regulations, plans, and programs.
2. Proposing the Authority’s general policies relating to its activities as well as the plans and programs necessary for their implementation, and submitting the same to the Board.
3. Proposing plans to develop the activity of public transport in the Kingdom.
4. Preparing the Authority’s draft annual budget and draft final accounts and submitting the same to the Board.
5. Representing the Authority before government agencies, relevant institutions and entities, and other entities within the Kingdom and abroad.
6. Proposing the regulations necessary for the Authority’s conduct of business, and approving work procedures based on the regulations and decisions issued by the Board.
7. Disbursing from the approved budget, and taking all financial actions in accordance with the approved laws and regulations and the powers delegated to him by the Board.
8. Preparing and reviewing reports on the implementation of the Authority’s plans and programs, and submitting the same to the Board.
9. Concluding contracts for the execution of works, services, and the like in accordance with the laws and the powers granted to him.
10. Preparing the annual report on the Authority’s activities which shall include challenges encountered and recommendations to overcome such challenges, and submitting it to the Board for approval prior to submission to the competent authorities.
11. Signing agreements, protocols, and contracts following the Board’s approval.
12. Organizing the Authority’s participation in regional and international conferences and events.
13. Issuing decisions for the implementation of this Statute and its regulations as well as approved rules and procedures, according to the powers granted to him.
14. Appointing the Authority’s employees in accordance with the regulations, and supervising the performance of their duties.
15. Approving plans and programs for secondment, training, and granting scholarships to the Authority’s personnel in fields relevant to its activities, and monitoring the implementation thereof.
16. Assuming the powers granted to him pursuant to Board decisions and the Authority’s regulations.
The President may delegate some of his powers to any of the Authority’s personnel.
