Organizational Arrangements of the General Authority for Roads

Article 1

  • The following terms - wherever they appear in these regulations - shall have the meanings specified next to each, unless the context requires otherwise:

    • Regulatory Arrangements: The regulatory arrangements of the General Panel for Roads.

    • The Panel: The General Panel for Roads.

    • The Minister: The Minister of Transport and Logistics Services.

    • The CEO: The CEO of the Panel.

    • The Council: The Board of Directors of the Panel.

    • The Roads: The roads outside the urban area.

Article 2

  • The Authority enjoys public legal personality, financial and administrative independence, and is organizationally linked to the Minister. Its main headquarters is located in the city of Riyadh, and it may, by a decision of the Council, establish branches or offices within the Kingdom as needed.

Article 3

  • The Authority aims to regulate the road sector and oversee it, in a manner that supports the process of transfer and logistics services in the Kingdom, and empowers the entities operating in this sector, which reflects on the economic development in the Kingdom.

Previous Amendments
  • The Authority shall have a Board of Directors chaired by the Minister, and membership shall include:

    • 1- The Chief Executive Officer.

    • 2- A representative from the Ministry of Interior.

    • 3- A representative from the Ministry of Transport and Logistic Services.

    • 4- A representative from the Ministry of Finance.

    • 5- A representative from the Ministry of Municipal and Housing Affairs.

    • 6- A representative from the Transport General Authority.

    • 7- A representative from the Saudi Contractors Authority.

    • 8- A representative from the Office for Supporting Regional and Urban Development Authorities.

    • 9- Three members from the private sector related to the roads sector, appointed by a decision of the Council of Ministers based on a nomination from the Minister, with a membership term of three (3) years renewable once.

  • The rank of representatives of government entities shall not be less than (fourteenth) grade or its equivalent.

Article 6

  • The Council is the supreme authority of the Authority, responsible for overseeing it and managing its affairs. It has the power to exercise all authorities and make all necessary decisions to achieve its purposes, within the limits of the provisions of the organizational arrangements. In particular, it has the following responsibilities:

    • 1- Approving the general policies related to all roads within and outside the urban area and their maintenance.

    • 2- Approving the strategic plans related to roads and organizing them.

    • 3- Supervising the implementation of the tasks assigned to the Authority.

    • 4- Approving the Authority's plans, policies, and programs, and monitoring their implementation.

    • 5- Approving the controls and rules for supporting investment activities and value-added services for roads, including supporting services.

    • 6- Approving the conditions, standards, controls, and specifications for the construction and maintenance of all roads within and outside the urban area, and monitoring compliance with them.

    • 7- Approving safety, security, and environmental standards related to all roads within and outside the urban area.

    • 8- Approving the rules and standards specific to the road sector.

    • 9- Approving the controls for assigning some of the Authority's tasks to government entities or the private sector.

    • 10- Considering all matters related to the allocation of the road sector and raising them in accordance with the regulatory provisions governing allocation.

    • 11- Approving the licensing and permit regulations specific to the Authority.

    • 12- Approving the administrative regulations, in agreement with the Ministry of Human Resources and Social Development.

    • 13- Approving the financial regulations and the provisions with financial implications in the administrative regulations, in agreement with the Ministry of Finance.

    • 14- Approving the regulations necessary for the operation of the Authority.

    • 15- Approving the administrative structure of the Authority and its organizational guide.

    • 16- Approving the financial fees for the licenses and permits granted by the Authority, the financial fees for the use of roads and their reserves, and determining the methods of collection, in accordance with the regulatory procedures and related mechanisms.

    • 17- Approving agreements and contracts of all kinds with individuals, institutions, and companies related to the purposes and activities of roads, reviewing them periodically according to operational requirements, and amending what is necessary in this regard in agreement with investors.

    • 18- Approving the establishment of branches and offices of the Authority.

    • 19- Approving the investment of the Authority's funds in a manner that achieves its purposes, and investing in and leasing real estate, in accordance with the relevant regulations, instructions, and mechanisms.

    • 20- Considering the periodic reports submitted regarding the progress of work in the Authority and its financial position.

    • 21- Approving the Authority's budget, final accounts, annual report, and the report of its auditors, and submitting them according to the applicable regulatory procedures.

    • 22- Approving the conclusion of agreements, protocols, and contracts, according to the applicable regulatory procedures.

    • 23- Accepting gifts, grants, donations, bequests, and endowments, according to the applicable regulatory procedures.

    • 24- Appointing an external auditor for the Authority and an internal financial controller.

  • The Council may delegate some of its powers to its President or to any member or employee of the Authority as it sees fit.

  • The Council may form permanent or temporary committees from among its members or others, assigning them tasks as it deems appropriate, specifying in the decision to form each committee its chairperson, members, and responsibilities, and may seek assistance from whomever it deems necessary to perform the assigned tasks.

Article 7

  • 1- The meetings of the Council are held at the headquarters of the Authority, chaired by the President of the Council or by a member appointed by him from representatives of government entities. It is permissible, when necessary, to hold them in another location within the Kingdom.

  • 2- The Council holds its meetings periodically (at least four) times a year. The President of the Council may call for a meeting whenever necessary, or whenever requested by at least one-third of the members. The invitation must be accompanied by an agenda for the meeting.

  • 3- The meeting is valid if attended by the majority of the members, including the President of the Council or his appointee, and decisions are made by a majority of the votes of those present. In the event of a tie, the side that the President of the meeting voted for shall prevail.

  • 4- A member of the Council may not abstain from voting nor delegate another member to vote on his behalf in his absence. The dissenting member has the right to record his objection and the reasons for the objection in the minutes of the meeting.

  • 5- The deliberations and decisions of the Council are documented in minutes signed by the President of the meeting and the attending members.

  • 6- When necessary, in emergency cases, and as deemed appropriate by the President of the Council, meetings may be held and voted on remotely using technological means. Decisions may be made by circulation among the members, and they are signed to indicate that all members have been informed of them. Decisions made in this manner are not considered valid unless they are circulated to all members, voted on by all members, and receive a majority of their votes.

  • 7- The Council shall have a Secretary from among the Authority's staff, chosen by the President of the Council based on the nomination of the Chief Executive Officer, who shall be responsible for the Council's secretariat, preparing for meetings, recording the minutes, deliberations, and decisions, and attending Council meetings without the right to vote.

  • 8- The Council may invite specialists and consultants it deems necessary to attend its meetings, without them having the right to vote.

  • 9- The decisions that the Council deems necessary to inform the licensees or those dealing with the Authority's services shall be published in the official gazette and in any other means deemed appropriate by the Council, provided that this publication does not compromise the public interest or business secrets. The Authority shall communicate these decisions to the relevant parties directly in an appropriate manner.

Article 8

  • The Authority shall have a Chief Executive Officer, who is appointed and dismissed from his position by a Decision from the Council, which specifies his salary and other financial benefits. He shall be responsible for managing the Authority and conducting its affairs, and his responsibilities and powers shall be limited to what is stipulated in the organizational arrangements and what the Council decides. In particular, he shall have the authority to exercise the following powers:

    • 1- Propose general policies related to all roads within and outside the urban area and their maintenance, and submit them to the Council for approval.

    • 2- Propose strategic plans for roads and their organization, and submit them to the Council for approval.

    • 3- Propose the Authority's plans, policies, and programs, and submit them to the Council for approval, and work on implementing them after approval.

    • 4- Propose controls and rules to support investment activities and value-added services for roads, including supporting services, and submit them to the Council for approval.

    • 5- Propose the conditions, standards, controls, and specifications for the construction and maintenance of all roads within and outside the urban area, and submit them to the Council for approval, and follow up on compliance after approval.

    • 6- Propose safety, security, and environmental standards related to all roads within and outside the urban area, and submit them to the Council for approval.

    • 7- Propose rules and standards specific to the road sector, and submit them to the Council for approval.

    • 8- Propose controls for assigning some of the Authority's tasks to government entities or the private sector, and submit them to the Council for approval.

    • 9- Propose a licensing and permit regulation specific to the Authority, and submit it to the Council for approval.

    • 10- Supervise the preparation of the organizational structure of the Authority, its administrative and financial regulations, and the necessary regulations to conduct its work; and submit them to the Council for approval.

    • 11- Follow up on the implementation of the Decisions issued by the Council, or decisions related to the Authority's work.

    • 12- Sign agreements and contracts of all kinds with individuals, institutions, and companies related to the purposes and activities of roads, after obtaining the Council's approval.

    • 13- Contract with employees of the Authority, in accordance with the organizational structure and the financial and administrative regulations approved by the Council.

    • 14- Disburse from the approved budget and take financial actions in accordance with the established systems and regulations and the powers delegated to him by the Council.

    • 15- Organize the Authority's participation in regional and international exhibitions and conferences.

    • 16- Issue the necessary Decisions to implement the provisions of the organizational arrangements and the regulations issued based on them and the approved rules and procedures, according to the powers granted to him.

    • 17- Supervise the Authority's personnel, and exercise the financial and administrative powers granted to him in accordance with the organizational arrangements and what the regulations specify.

    • 18- Supervise the preparation of the Authority's budget project, its annual report, and its final account project, and submit them to the Council.

    • 19- Submit periodic reports to the Council on the progress of work in the Authority.

    • 20- Contract for the implementation of works, services, and others, in accordance with the systems and powers delegated to him by the Council.

    • 21- Approve the necessary plans and programs for training, scholarships, and sending the Authority's personnel in all areas of its work and follow up on their implementation.

    • 22- Represent the Authority before judicial, administrative, and other entities inside and outside the Kingdom, and he may delegate others in this regard.

    • 23- Sign agreements, protocols, and contracts after obtaining the Council's approval, and in accordance with the applicable regulatory procedures.

    • 24- Any other task assigned to him by the Council.

    • The Chief Executive Officer may delegate any of his powers to other personnel of the Authority.

Article 9

  • The members of the Authority are subject to the provisions of the Labor Law and the Social Insurance Law.

Article 10

  • 1- The Authority shall have an independent annual budget.

  • 2- The financial year of the Authority is the same as the financial year of the State.
