1.1 These are the Terms and the Usage Policy that regulate the access to and the use of Qanoniah platform by persons within or outside the Kingdom of Saudi Arabia (hereinafter referred to in this Agreement as “Qanoniah”) and the content, products, and services described in Clause 2 (hereinafter referred to in this Agreement as the “Services”), which are provided by Adala Information Systems Technology Co. Ltd. (Single-Member Company), a company incorporated in the Kingdom of Saudi Arabia (hereinafter referred to in this Agreement as the “Company”).
1.2 Please read these Terms carefully before accessing or using the Services.
1.3 By accessing and using the Services, you agree to be bound by these Terms, which establish a contractual relationship between you and the Company.
1.4 If a user does not agree to these Terms, such a user shall not access or use the Services.
1.5 These Terms replace any prior agreements or arrangements between the Company and the user.
1.6 The company may immediately terminate these terms or any services provided to you, or suspend or block access to all or part of the services at any time if you violate the terms or the usage policy.
1.7 The Company may amend these Terms at any time. By continuing to use the services lawfully after any changes, you are deemed to have accepted the updated Terms and Policy."
Qanoniah provides support services for legal professionals. These services include, for example:
2.1 Legal Research Product: A product that provides a specialized legal database and an advanced search engine for legal documents and records in the Kingdom of Saudi Arabia (hereinafter referred to in this Agreement as "Legal Research").
2.2 Qanoniah AI Product: A suite of artificial intelligence tools designed to assist in the analysis, review, and drafting of legal documents (hereinafter referred to in this Agreement as "Qanoniah AI").
2.3 Qanoniah CLM Product: A contract lifecycle management solution for the preparation, management, and enhancement of contracts and legal templates, together with any related technological tools, artificial intelligence tools, or electronic signature services (hereinafter referred to in this Agreement as "Qanoniah CLM").
2.4 Qanoniah EN Product: A product that provides any of the aforementioned products in the English language (hereinafter referred to in this Agreement as "Qanoniah EN").
3.1 Subscription to Qanoniah is based on the plan selected by the user during registration, subject to a subscription fee determined by the plan category.
3.2 Subscription invoices: The subscription invoice is considered an integral part of this agreement.
3.3 Qanoniah Platform users authorize the use of their company’s or government entity’s logo on the website’s homepage, specifically in the “Our Clients” section, and allow the announcement of their status as a client on social media.
3.4 Subscription Plan Type: The subscription plans page outlines the features and limitations of each plan, including content and benefits. The features of the plan chosen by the user, based on its type, shall be considered an integral part of this Agreement.
3.5 The User acknowledges and agrees that registration with Qanoniah and the use of its services are strictly limited to entities and individuals holding a valid Commercial Registration (CR). By completing the registration and payment process, the User irrevocably represents and warrants that this requirement has been satisfied and assumes full legal responsibility for any violation thereof.
3.6 The Company reserves the right, at any time and without prior notice, to verify that the User falls within the categories specified in Clause 3.5. If the Company determines that the User does not satisfy the applicable eligibility requirements, the Company shall have the right to immediately suspend the User's account and terminate this Agreement.
3.7 If the User's account is suspended pursuant to Clause 3.6, the Company shall refund the User to the original payment method used for the initial payment within a period not exceeding sixty (60) days from the date of suspension, after deducting an amount equivalent to the subscription fees attributable to the period commencing on the account activation date and ending on the effective date of suspension.
Article 4:Credit System
4.1 Users earn a number of credits for their subscription, as specified on the subscription plans page.
4.2 Each use of Services corresponds to a number of credits, depending on the type of Service, which are explained on the plans page.
4.3 Unused credits cannot be carried over to future subscriptions.
4.4 Users cannot transfer, assign, or request a refund for their credits.
5.1 The company may activate a trial period for certain users according to the duration agreed upon at account activation. Usage during the trial is limited in terms of the number of searches allowed and the number of files that can be accessed. Additionally, some features will not be available during the trial and are reserved for full Qanoniah subscribers. The Company may suspend the account during the trial period without notice and without providing a legal reason.
5.2 The single user is not permitted to register more than one account on Qanoniah Platform for any reason or to take advantage of the trial period multiple times, Doing so is considered fraudulent and the company has the right to treat any second account as a "paid annual subscription," and the user will be required to pay the subscription fee, with the account being suspended immediately until the fee is paid.
5.3 When selecting a subscription plan, the user must provide the Company with the required documents, as detailed in the registration process for each plan. If it is found that the documents were not submitted or that incorrect documents were provided, the Company has the right to suspend the account immediately until the correct documents are provided.
Article 6: Legal Research Product (Qanoniah)
6.1 Many of the documents available on Qanoniah are publicly accessible and free on government platforms, the subscription fee is not for purchasing these documents, but for providing users with easier and more efficient access through the specialized technologies offered by Qanoniah.
6.2 The Company does not claim ownership over any official or unofficial documents provided by Qanoniah, the main purpose of Qanoniah is to facilitate the use and analysis of such documents and texts, helping professionals and researchers accessing information more efficiently through advanced tools, including, but not limited to: search functionality, document indexing, highlighting and note-taking, discussions, and related features.
Article 7: AI Product (Qanoniah AI)
7.1 Qanoniah AI is designed to assist users in answering legal questions based on the Statutes and regulatory sources available on Qanoniah; However, all responses provided by the model are for informational purposes only and do not constitute legal advice under any circumstances.
7.2 Qanoniah AI is intended as a preliminary assistive tool for reviewing legal consultations, contracts, and drafting. All outputs should be treated as initial drafts and reviewed by a qualified professional prior to use or reliance.
7.3 The Company does not guarantee the accuracy, completeness, or suitability of any responses provided by Qanoniah AI for any legal matter, and the user alone bears full responsibility for the use of the information provided through Qanoniah AI.
7.4 The use of Qanoniah AI does not in any way substitute for consulting a licensed attorney in the Kingdom of Saudi Arabia.
7.5 Qanoniah AI does not train its models on the user’s data or his personal documents.
7.6 By uploading a document, the user agrees to the processing of its contents, including reading and analyzing the text, using the technologies provided by the Company or with the assistance of third parties.
7.7 When you use the "Report a Problem" feature, we may ask you to describe the issue you encountered. By submitting a report, you consent to our authorized personnel accessing your query, the system's response, and the conversation context related to the reported issue for the purposes of investigating the issue, resolving it, and improving the Service.
7.8 Please do not share Sensitive Data when using the artificial intelligence services. "Sensitive Data" means any personal data revealing an individual's racial or ethnic origin, religious, intellectual, or political beliefs; security or criminal data; biometric data used for identification; genetic data; health data; or data indicating that an individual is of unknown parentage or has one unknown parent, as defined in Paragraph (11) of Article (1) of the Personal Data Protection Law.
8.1 The Qanoniah CLM product is designed to assist the User in preparing contracts and legal templates, improving their drafting, and managing them through the provision of template documents and supporting technological tools.
8.2 The product may include artificial intelligence tools that assist the User with drafting, analyzing contractual text, suggesting contractual clauses, and responding to contract-related inquiries.
8.3 All templates, contracts, and legal forms made available through the Qanoniah CLM product are provided as preliminary reference templates only and are intended to assist the User in developing the general structure and drafting of a contract.
8.4 The User is responsible for reviewing and customizing all templates and contracts to ensure that they are appropriate for the User's specific circumstances and comply with all applicable legal and regulatory updates before adopting, executing, or otherwise relying upon them. The Platform does not warrant that any template or legal form is suitable for the User's particular purpose or specific contractual situation.
8.5 The templates, contracts, and legal forms available through the Qanoniah CLM product are not a substitute for professional legal advice, and their use does not eliminate the need for review by a qualified legal professional.
8.6 All outputs generated by the artificial intelligence tools are provided solely for informational and guidance purposes and shall not, under any circumstances, be construed as legal advice.
8.7 Such outputs are based on analyses performed by artificial intelligence systems and may contain errors or fail to fully understand the legal context of a particular matter.
8.8 All artificial intelligence-generated outputs must be treated as preliminary drafts. The User bears sole responsibility for verifying their accuracy and ensuring that they are reviewed by a qualified legal professional before being relied upon.
9.1 Qanoniah provides three types of translations:
Official Translation: Translations issued by official authorities or government websites, including ministries, authorities, or government centers. These translations are considered accurate and reliable for official and legal purposes.
AI Translation: Translations generated using artificial intelligence tools, intended to facilitate the use of Arabic documents that are not officially available in English. The User acknowledges that translations produced using artificial intelligence are not flawless and are not a substitute for translations prepared by certified translators. Accordingly, the Company does not warrant the accuracy of any AI-generated translation, and the User is responsible for independently verifying the translated content before relying upon it.
Qanoniah Team Translation: Translations prepared and reviewed by the Qanoniah team. Although such translations are carefully prepared by the Company, they may contain errors, inconsistencies, or inaccuracies. The Company shall not be liable for any errors or omissions in such translations.
9.2 The type of translation shall be clearly identified for each item of content.
9.3 Disclaimer. The Company disclaims any responsibility for errors or misinterpretations in translations provided via the AI or Qanoniah team; Users are responsible for ensuring the correctness of the translation.
9.4 Disclaimer Regarding Untranslated Materials. Some materials,, including, without limitation, text contained in PDF files, images, text embedded within images, or content in non-editable formats, may not be translated. The Company does not warrant the availability, accuracy, or completeness of translations for such content. The User acknowledges that untranslated or partially translated content may require additional verification, and the Company shall not be liable for any errors, omissions, or inaccuracies resulting from such formats.
The User shall respect and preserve all intellectual property rights of the Company, including, without limitation, the following:
10.1 All rights in the software used to develop the Qanoniah platform, the software used to display Qanoniah's content to Users, and all other software used within Qanoniah are protected in accordance with Paragraph (11) of Article (2) of the Copyright Law.
10.2 All rights relating to the collection of legal materials, including laws and regulations from their various sources, their conversion into searchable text using optical character recognition (OCR) technologies, and their indexing, organization, and presentation in the manner displayed on the Qanoniah platform.
10.3 All rights relating to the collection and compilation of legal documents, including judicial judgments, decisions issued by courts, judicial and quasi-judicial committees, laws, regulations, circulars, legal principles, and other legal materials obtained from their various sources.
10.4 Users are prohibited from using any Platform functionality, including the printing or copying of documents, for commercial purposes. This prohibition includes, without limitation, using the Platform or its content to develop a competing platform, a platform offering similar services, any legal database, or to train artificial intelligence systems for any purpose whatsoever.
11.1 Qanoniah products must be used fairly and in a customary manner.If Qanoniah is used in an unusual way that exceeds the Fair Use Policy including, without limitation, downloading or printing large sets of data or documents, repeated searching, or excessive browsing,or exceeding the questions limit in the AI this shall constitute a violation of this Policy. "Fair Use" shall be assessed by reference to the ordinary usage patterns of users within the same user category.
11.2 The use of Qanoniah through any non-human or automated means is strictly prohibited under all circumstances and for any purpose. This includes, without limitation, the use of software, scripts, bots, or other automated tools designed to perform repetitive tasks or otherwise interact with the Platform to obtain any benefit. The Company considers the use of such tools, regardless of their intended purpose, to be a direct violation of this Fair Use Policy. In the event of such a violation, the Company shall be entitled, in addition to any other rights available under this Agreement or applicable laws and regulations, to immediately suspend or terminate the subscription without any obligation to refund the remaining subscription fees. The Company shall also be entitled to seek compensation for any direct or indirect damages resulting from such violation.
11.3 Qanoniah is intended to facilitate access to legal information through the Platform. Accordingly, printing documents or copying text for the purpose of storing or maintaining a personal offline repository is prohibited, as such use is inconsistent with the purpose of the Platform. The User may, however, use the Platform's printing and copying features for legitimate Fair Use purposes, including, without limitation, citing documents before courts or copying statutory provisions for inclusion in legal memoranda, pleadings, or similar legal documents.
11.4 Qanoniah's subscription model is based on each individual user being assigned a separate account under the subscription of the relevant organization or entity. Accordingly, it is a violation of this Agreement for more than one person to use the same account. In addition, the same account may not be used simultaneously on two different devices.
12.1 Qanoniah provides a large number of legal documents and legal information. However, the user is solely responsible for making sure to verify the accuracy of such information; The information provided by the platform does not constitute legal advice, nor does the use of Qanonaiah substitute for consulting qualified legal professionals.
12.2 Qanoniah updates laws and regulations within one day from the date they are published in the Official Gazette; However, it is the user's responsibility to ensure that the information is up to date before relying on or citing it.
12.3 Qanoniah converts laws and regulations from scanned images and PDF documents into editable text to facilitate copying and use; While Qanoniah takes care to ensure that these texts match the officially published versions, the platform shall not be held responsible under any circumstances for any errors that may exist in the converted texts.
12.4 Qanoniah publishes a collection of legal documents, including research papers and memoranda, prepared in collaboration with legal experts; However, Qanoniah does not guarantee that these documents reflect the latest updates to laws and regulations, as some were published on earlier dates, since the purpose of publishing these documents is for reference only, the user is responsible for ensuring their applicability if they choose to rely on them.
12.5 Qanoniah reserves the right to place restrictions on certain platform features or on specific documents for the purpose of protecting them.
12.6 Qanoniah reserves the right to add, modify, or delete any document or text without prior notice.

Article14: Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any dispute arising out of or in connection with this Agreement, including any dispute relating to its interpretation, shall be subject to the exclusive jurisdiction of the competent courts of Riyadh, Kingdom of Saudi Arabia.
