  • After reviewing the correspondence received from the Royal Court No. 21076 dated 30/4/1437 AH, including the letter of His Excellency the Minister of Housing No. 63 dated 24/4/1437 AH, regarding the draft Statute of the Real Estate General Authority.

  • After reviewing the aforementioned draft Statute.

  • After reviewing Royal Order No. (7262) dated 8/2/1437 AH.

  • After reviewing Paragraph (2) of Article (24) of the Council of Ministers Law, issued by Royal Order No. (A/13) dated 3/3/1414 AH.

  • After reviewing Server Process No. (94) dated 1/2/1438 AH, prepared by the Bureau of Experts at the Council of Ministers.

  • After reviewing the recommendation prepared by the Council of Economic and Development Affairs No. (13 – 16/38/D) dated 13/3/1438 AH.

  • After reviewing the recommendation of the General Committee of the Council of Ministers No. (1224) dated 4/4/1438 AH.

  • It is decided as follows:

  • First: Approval of the establishment of the Real Estate General Authority, in accordance with its attached Statute.

  • Second: The Real Estate General Authority shall coordinate with the concerned authorities to make the necessary arrangements to transfer the supervision jurisdiction over the activities stipulated in the Statute of the Real Estate General Authority to the Authority, according to phases agreed upon with those authorities.

  • Third: The Real Estate General Authority shall, when exercising its powers stipulated in its Statute, comply with the provisions of the laws, decisions, orders, and instructions related to oil, gas, minerals, and energy.

  • Fourth: Employees of the Real Estate General Authority – except for the Governor of the Authority – shall be subject to the personnel and employees regulations of the General Organization for Social Insurance, and the attached salary scales.

Article 1

Previous Amendments
  • The phrases and terms mentioned below - wherever they appear in this regulation - shall have the meanings specified next to them, unless the context requires otherwise:

  • Minister: Minister of Housing.

  • Authority: Real Estate General Authority.

  • Council: Board of Directors of the Authority.

  • President: President of the Council.

  • Chief Executive Officer: Chief Executive Officer of the Authority.

  • Regulation: Regulation of the Authority.

  • License: A document issued by the Authority that authorizes its holder to engage in one or more real estate activities.

  • Real Estate Activities: Work or a set of works carried out to provide specific real estate products, including real estate development, real estate contributions, sale off-plan, and providing mediation services in the sale, purchase, or leasing of real estate.

Article 2

REGA shall have a legal personality and financial and administrative independence, and it shall report to the Minister. It shall be headquartered in the city of Riyadh and it may establish branches and offices within the Kingdom, as necessary.

  • 1- The Authority shall have a Board of Directors chaired by the Minister and composed of the following members:

    • A- The Chief Executive Officer.

    • B- A representative from the Ministry of Energy.

    • C- A representative from the Ministry of Interior.

    • D- A representative from the Ministry of Municipal and Housing Affairs.

    • E- A representative from the Ministry of Finance.

    • F- A representative from the Ministry of Justice.

    • G- A representative from the Ministry of Economy and Planning.

    • H- A representative from the Ministry of Investment.

    • I- A representative from the Ministry of Environment, Water, and Agriculture.

    • J- A representative from the Ministry of Industry and Mineral Resources.

    • K- A representative from the State Properties General Authority.

    • L- A representative from the General Authority for Survey and Geospatial Information.

    • M- Three members from the private sector related to the Authority’s activity, appointed by a decision of the Council of Ministers upon the Minister’s proposal, with membership for a period of three (3) years renewable once.

  • 2- The rank of representatives of government agencies shall not be less than the fourteenth rank or its equivalent.

  • 3- The President shall select a deputy from among the representatives of the government entities on the Board.

  • The Council is the supreme authority of the entity, responsible for overseeing its affairs, managing it, and conducting its matters. It has the authority to make necessary decisions and procedures to achieve its purposes within the framework of the provisions of the law, and it specifically has the following powers and competencies:

  • 1- Overseeing the implementation of the tasks assigned to the entity.

  • 2- Establishing the policies that the entity follows to achieve its purposes, approving the necessary plans and programs for that, and supervising their implementation.

  • 3- Approving the administrative and financial regulations and other internal regulations that govern the entity, provided that the approval of the administrative regulations is in agreement with the Ministry of Human Resources and Social Development, and the financial regulations and provisions with financial implications in the administrative regulations are in agreement with the Ministry of Finance.

  • 4- Approving the organizational structure of the entity.

  • 5- Approving the financial fees for the licenses issued by the entity, in agreement with the Ministry of Finance and the Non-Oil Revenues Development Center.

  • 6- Without prejudice to the relevant legal provisions, the approval of the financial fees that the entity charges for the works and services it provides shall be in agreement with the Ministry of Finance and the Non-Oil Revenues Development Center.

  • 7- Approving the opening of branches and offices for the entity within the Kingdom.

  • 8- Approving the investment of the entity's funds in a manner that achieves its purposes, and investing in and leasing real estate in accordance with the applicable regulations.

  • 9- Approving the draft budget of the entity, its final accounts, the auditor's report, the annual report, and submitting what is necessary for approval according to the applicable legal procedures.

  • 10- Accepting gifts, grants, donations, endowments, and bequests in accordance with the applicable regulations.

  • 11- Approving the conclusion of agreements, protocols, and contracts, and authorizing the CEO to sign them according to the applicable procedures.

  • 12- Reviewing the periodic reports submitted regarding the progress of work in the entity and its financial position.

  • 13- Approving the rules for granting rewards to those assigned by the Council from outside the entity to perform specific tasks or provide certain services to the entity.

  • 14- Appointing an external auditor and an internal financial controller.

  • 15- Establishing programs to encourage the registration of real estate.

  • The Council may delegate its President, Vice President, or any member it deems appropriate in some of its powers.

Article 6

Previous Amendments
  • 1- The Council meetings are held at the headquarters of the Authority upon the invitation of the President, and they may, when necessary, be held at another location within the Kingdom.

  • 2- The Council holds its meetings periodically four times a year, and the President may call for a meeting whenever needed or upon the request of at least three members.

  • 3- A Council meeting is valid if attended by the majority of the members, including the President or his Deputy, and decisions are made by a majority of the votes of the attending members. In the event of a tie, the side that the President of the meeting voted for shall prevail.

  • 4- The deliberations and decisions of the Council are recorded in minutes signed by the President of the meeting and the attending members.

  • 5- A member of the Council may not abstain from voting or delegate another member to vote on their behalf in their absence, and the dissenting member has the right to record their objection and reasons in the minutes of the Council meeting.

  • 6- A member may not disclose any information they have obtained regarding the secrets of the Authority due to their membership in the Council.

  • 7- The Council may invite specialists and consultants whom it deems necessary to attend its meetings, without them having the right to vote.

  • 8- The Council shall have a Secretary from among the Authority's staff, chosen by the President based on the nomination of the Chief Executive Officer, who will be responsible for the Council's secretariat, preparing for meetings, and recording the deliberations and decisions.

Article 7

The Board may form standing or ad hoc committees from among its members or others to carry out certain tasks. The formation decision of each committee shall designate its chairman and members and determine its powers. A committee may seek the assistance of non-members to carry out tasks entrusted thereto.

Article 8

  • The Authority shall have a Chief Executive Officer who is appointed and dismissed by a decision of the Council based on a nomination from the President, and the decision shall specify his salary and other financial benefits.

Article 9

  • The Chief Executive Officer shall be responsible for managing the Authority, and his responsibilities shall be limited to what is stipulated in the regulations and what is decided by the Council. He shall specifically exercise the following powers and tasks:

  • 1- Supervising the workflow in the Authority through the approved regulations, plans, and programs.

  • 2- Proposing the general policies of the Authority related to its activities, and the necessary plans and programs for their implementation, and submitting them to the Council.

  • 3- Preparing the draft annual budget of the Authority and the draft final account, and submitting them to the Council.

  • 4- Approving the issuance of licenses that fall within the Authority's jurisdiction.

  • 5- Representing the Authority before government entities, institutions, and other relevant bodies, as well as other entities inside and outside the Kingdom and before the Judiciary.

  • 6- Disbursing from the approved budget and taking all financial procedures in accordance with the approved systems and regulations and the powers granted to him by the Council.

  • 7- Preparing reports on the implementation of the Authority's plans and programs, studying them, and presenting them to the Council.

  • 8- Preparing the annual report on the Authority's activities and the obstacles it faced, proposing appropriate solutions, and submitting it to the Council for consideration and forwarding it to the relevant authorities after its approval by the Council.

  • 9- Signing agreements, protocols, and contracts after the Council's approval according to the established procedures.

  • 10- Organizing the Authority's participation in conferences, seminars, meetings, and exhibitions related to the Authority's fields of work locally, regionally, and internationally.

  • 11- Issuing the necessary decisions to implement the provisions of the regulations and the rules and procedures issued thereunder, according to the powers granted to him.

  • 12- Forming internal working committees (permanent or temporary) in accordance with the regulations and procedures approved by the Authority.

  • 13- Seeking the assistance of specialized experts and consultants that the Authority requires.

  • The Chief Executive Officer may delegate some of his powers to whomever he deems appropriate among the Authority's staff.
