Organizational Arrangements for Mahd Sports Academy

  • The Council of Ministers

  • Having reviewed the submission received from the Royal Court under No. 10337 dated 1443/2/17 AH, which includes the telegram of His Royal Highness the Minister of Sport No. 000974-43 - 106 dated 1443/2/13 AH, concerning the draft Statute of Mahd Sports Academy and the grounds for approving its authority to invest its funds in a manner that enables it to achieve sports sustainability.

  • Having reviewed the aforementioned draft Statute.

  • Having reviewed the Royal Order Circular No. (55685) dated 1438/11/30 AH.

  • Having reviewed Council of Ministers Decision No. (654) dated 1442/11/5 AH.

  • Having reviewed Memoranda No. (1282) dated 1443/6/9 AH and No. (2109) dated 1443/9/16 AH, prepared by the Bureau of Experts at the Council of Ministers.

  • Having reviewed the report prepared by the Council of Economic and Development Affairs No. (43/810 /M) dated 1443/9/27 AH.

  • Having reviewed the recommendation of the General Committee of the Council of Ministers No. (9629) dated 1443/11/5 AH.

  • Decides as follows:

    • First: Approval of the Statute of Mahd Sports Academy, in the form attached hereto.
    • Second: His Royal Highness the Minister of Sport, Chairman of the Board of Directors of Mahd Sports Academy, shall undertake the duties of the Board of Directors until it is formed, provided that this shall be limited to exercising the powers of the Board relating to the conduct of its affairs and shall not include powers relating to the approval of financial and administrative policies and regulations.
    • Third: The exercise by the Academy’s Board of Directors of the authority set out in Paragraph (8) of Item (Fifth) of the Statute—referred to in Item (First) of this Decision—shall be in agreement with the Ministry of Finance and the Non-Oil Revenues Development Center, until the issuance and implementation of the “Regulation Governing the Exercise by Public Authorities and Institutions and the Like of the Imposition of Financial Consideration for the Services and Works They Provide.”
    • Fourth: His Royal Highness the Minister of Sport, Chairman of the Board of Directors of Mahd Sports Academy, and His Excellency the Minister of Finance shall agree on all matters relating to the investment of the Academy’s funds and establish appropriate mechanisms enabling it to benefit from its revenues and the financial consideration for the services and works it provides, in a manner that ensures the financial sustainability of the Academy, without prejudice to the provisions of Royal Order Circular No. (55685) dated 1438/11/30 AH.
    • Fifth: The Ministry of Sport shall, during the (third) year from the date on which the Academy commences its duties, submit a report addressing the impact of establishing the Academy on private-sector sports academies and proposing whatever it deems appropriate in this regard.
  • The Prime Minister

First

  • The following words and phrases, wherever they appear in these Arrangements, shall have the meanings assigned to each of them below:

    • Academy: Mahd Sports Academy.
    • Arrangements: The Organizational Arrangements of the Academy.
    • Minister: The Minister of Sport.
    • Council: The Academy’s Board of Directors.
    • President: The Chairperson of the Council.
    • Academy President: The Chief Executive Officer of the Academy.
    • Sports Talents: Natural persons possessing distinguished abilities, capabilities, and motor and technical performance from various age groups and in any of the sports fields.

Secondly

  • 1- The Academy shall enjoy public legal personality and financial and administrative independence, and shall perform the tasks and exercise the powers assigned to it within the limits of the arrangements. It shall be organizationally affiliated with the Minister.
  • 2- The Academy’s headquarters shall be located in the city of Riyadh. It may establish branches and offices within and outside the Kingdom, as needed, in accordance with the applicable statutory procedures.

Thirdly

  • The Academy aims to discover, nurture, and develop sports talent; export knowledge, expertise, and technical methodologies for nurturing and developing such talent; and enhance the Kingdom’s competitiveness to achieve national, regional, continental, and international sporting achievements.

  • In order to achieve its objectives—without prejudice to the jurisdiction of other government entities—it shall have the following tasks:

    • 1- Work to discover, nurture, and develop sports talent, in order to enhance the Kingdom’s competitiveness and achieve sporting achievements.
    • 2- Develop plans and programs for discovering, nurturing, and developing sports talent, in coordination with the relevant entities.
    • 3- Work with the relevant entities to identify the impediments and challenges relating to sports talent and its nurturing and development; provide the necessary views and proposals in this regard; and follow up on their implementation with those entities.
    • 4- Review the laws and regulations related to its areas of jurisdiction, propose amendments thereto in agreement with the competent government entities, and submit them in preparation for completing the statutory procedures.
    • 5- Conduct research and studies in fields related to its areas of jurisdiction.
    • 6- Cooperate with the relevant entities to enhance the Kingdom’s competitiveness and achieve sporting achievements.
    • 7- Construct and develop sports facilities and establishments that contribute to achieving the objectives for which it was established.
    • 8- Develop the programs necessary to qualify human resources in sports fields in a manner that contributes to achieving its objectives, in cooperation with the relevant entities.
    • 9- Establish information databases in fields related to its areas of jurisdiction.
    •  10- Cooperate with and establish partnerships with international organizations, bodies, federations, centers, institutes, and relevant entities in fields related to the Academy’s areas of jurisdiction.
    • 11- Organize forums and conferences and hold seminars and workshops inside and outside the Kingdom in fields related to its areas of jurisdiction, in accordance with the applicable statutory procedures.

Fourthly

  • 1- The Academy shall have a Board of Directors chaired by the Minister and comprising no fewer than (five) members, including:

    • A- Representatives of government entities and persons with expertise and competence in the Academy’s field of work.
    • B- The President of the Academy.
  • 2- An order shall be issued by the Prime Minister, based on a nomination by the President, specifying the government entities and appointing the members with the expertise and competence referred to in Paragraph (1/A) of this Clause.

  • 3- The rank of the representatives of the government entities referred to in Paragraph (1/A) of this Clause shall not be lower than the (fourteenth) rank or its equivalent.

  • 4- The term of membership of the members with the expertise and competence referred to in Paragraph (1/A) of this Clause shall be (three) years, renewable once.

Fifth

  • The Council shall oversee the management of the Academy’s affairs and conduct its business. Within the limits of the provisions of the Arrangements, it shall have the authority to take all decisions necessary to achieve its objectives. In particular, it shall have the following powers:

    • 1- Approving the general policies relating to the Academy’s activities, the necessary plans and programs, and monitoring their implementation, and submitting matters requiring the completion of statutory procedures.
    • 2- Approving draft amendments to the laws and regulations related to the Academy’s powers, after agreement with the competent government entities, and submitting them in preparation for completing the statutory procedures.
    • 3- Approving the organizational structure of the Academy.
    • 4- Approving the administrative, financial, and other regulations necessary for the Academy’s operations, provided that the administrative regulations are approved in agreement with the Ministry of Human Resources and Social Development, and that the financial regulations and provisions having financial implications in the administrative regulations are approved in agreement with the Ministry of Finance.
    • 5- Approving the establishment of branches and offices of the Academy within and outside the Kingdom, in accordance with the statutory procedures.
    • 6- Approving the conclusion of agreements, protocols, and contracts, in accordance with the applicable statutory procedures.
    • 7- Approving the Academy’s joining or participation in regional and international organizations, bodies, federations, and the like related to the Academy’s powers, in accordance with the applicable statutory procedures.
    • 8- Approving the fees for the works and services provided by the Academy.
    • 9- Approving the methods for investing the Academy’s funds and the policies governing such investment.
    • 10- Reviewing the periodic reports submitted by the President of the Academy on the progress of the Academy’s operations and expressing its opinion thereon.
    • 11- Approving the draft annual budget of the Academy, its final accounts, the auditor’s report, and the annual report, in preparation for submitting them in accordance with the applicable statutory procedures.
    • 12- Accepting gifts, donations, grants, bequests, and endowments, in accordance with the provisions governing such matters.
    • 13- Appointing one or more external auditors and an internal financial controller.
  • In order to exercise its powers, and without prejudice to the duties entrusted to it, the Council may form permanent or temporary committees from among its members or others, assigning to them such tasks as it deems appropriate. It shall specify, in the resolution forming each committee, its chairperson, members, and powers, and the committee may seek the assistance of any person it deems appropriate to perform the tasks entrusted to it. The Council may also delegate some of its powers to the President, to any of its members whom it deems appropriate, or to the President of the Academy.

Sixthly

  • 1- The Council’s meetings shall be held at the Academy’s main headquarters, and may, where necessary, be held at another location within the Kingdom.
  • 2- The Council shall hold its meetings—at the invitation of the President—periodically, no fewer than (four) times a year. The President may call a meeting whenever necessary or whenever requested by at least half of the Members.
  • 3- In the event of the President’s absence, the President may appoint a representative from among the representatives of government entities to chair the meetings.
  • 4- The invitation to attend a Council meeting shall be issued—in writing—at least (seven) days before the meeting date, and shall include the agenda.
  • 5- For a Council meeting to be valid, at least a majority of the Members, including the President or the President’s representative, must be present. Decisions shall be adopted by at least a majority of the votes of the Members present. In the event of a tie, the side supported by the chair of the meeting shall prevail.
  • 6- The Council’s deliberations and decisions shall be recorded in minutes signed by the chair of the meeting and the Members present.
  • 7- No Member of the Council may abstain from voting or authorize another Member to vote on the Member’s behalf in the event of the Member’s absence.
  • 8- Where necessary and in urgent cases, at the President’s discretion, the Council may hold meetings and vote on decisions remotely through the use of modern technology. Decisions may also be adopted by circulation among the Members of the Council, provided that they are signed by all Members and obtain at least a majority of their votes. Such decisions shall be presented to the Council at its first subsequent meeting to be recorded in the minutes of the meeting.
  • 9- The Member shall maintain the confidentiality of information and shall not exploit or use it for any purpose other than the interests of the Academy, or disclose it to third parties.
  • 10- The Council may invite experts, specialists, and consultants whose assistance it deems necessary to attend its sessions, without having the right to vote.

Seventh

  • The Academy shall have a Chief Executive Officer, who shall be appointed and relieved of office by a decision of the Council. The decision shall determine his remuneration and other financial benefits. He shall be responsible for managing the affairs of the Academy and conducting its day-to-day operations, and his responsibilities shall be within the limits of the arrangements and as determined by the Council. The Chief Executive Officer shall exercise the following powers:

    • 1- Proposing the general policies of the Academy and the plans and programs necessary for achieving its objectives, and submitting them to the Council for approval.
    • 2- Proposing the organizational structure of the Academy and its administrative, financial, and other regulations necessary for conducting its operations, submitting them to the Council for approval, and supervising their implementation after approval.
    • 3- Supervising the operations of the Academy and its employees in accordance with the powers vested in him and as specified in the Academy’s regulations.
    • 4- Authorizing expenditures of the Academy in accordance with the approved annual budget and the Academy’s regulations.
    • 5- Supervising the preparation of the draft annual budget of the Academy, its draft final accounts, and its annual report, and submitting them to the Council.
    • 6- Proposing the works and services that may be provided and the financial consideration thereof, and submitting the same to the Council for consideration and approval.
    • 7- Proposing the methods of investing the Academy’s funds and the policies regulating such investment, and submitting them to the Council for consideration and approval.
    • 8- Representing the Academy before the courts, government entities, institutions, other relevant authorities, and other entities inside and outside the Kingdom, and he may delegate others to do so.
    • 9- Supervising the preparation of periodic reports on the conduct of the Academy’s operations, its achievements and activities, and the impediments it faces, and submitting them to the Council in preparation for completing the necessary action in this regard.
    • 10- Signing agreements, protocols, and contracts after obtaining the approval of the Council, or in accordance with the powers granted to him by the Council.
    • 11- Appointing the Academy’s personnel, supervising them, and terminating their services, in accordance with the powers granted to him and as specified by the relevant laws and regulations.
    • 12- Contracting with experts, specialists, and consultants in fields related to the Academy’s work, in accordance with the applicable statutory procedures.
    • 13- Submitting proposals and recommendations to the Council concerning matters falling within its jurisdiction.
    • 14- Following up on the implementation of the Council’s decisions related to the Academy’s operations.
    • 15- Preparing indicators for measuring the performance of the Academy and submitting them to the Council for approval.
    • 16- Exercising any power assigned to him by the Council.
  • The Chief Executive Officer may delegate some of his powers to other Academy personnel.

Eighth

  • 1- The Academy shall have an independent annual budget.

  • 2- The financial year of the Academy is the same as the financial year of the state. Exceptionally, the first financial year of the Academy shall commence from the date of implementation of the arrangements and shall end at the conclusion of the following financial year of the state.

Ninth

  • 1- The Academy’s resources shall consist of the following:

    • A- Allocations made to it in the State’s general budget.
    • B- The financial consideration it receives in return for the works and services it provides.
    • C- Donations, contributions, proceeds of endowments, and bequests accepted by the Council, in accordance with the provisions regulating the same.
    • D- Returns on the investment of its available financial resources.
    • E- Other resources approved by the Council, provided that this does not conflict with laws and instructions.
  • 2- All revenues of the Academy shall be deposited into the Ministry of Finance’s current account with SAMA’s.

  • 3- The Academy shall open an account with SAMA’s and may open other accounts with any banks licensed to operate in the Kingdom. Disbursements from these accounts shall be made in accordance with the Academy’s approved budget.
