Statute of the General Panel for Roads

  • The Council of Ministers

  • After reviewing in its session held under the chairmanship of the Custodian of the Two Holy Mosques King Salman bin Abdulaziz Al Saud, the correspondence received from the Royal Court No. 911 dated 1445/1/5 AH, including the telegram of the General Authority for Roads No. 78868 dated 1444/12/30 AH, regarding the Draft Regulation of the General Authority for Roads.

  • After reviewing the aforementioned draft regulation.

  • After reviewing the Organizational Arrangements of the General Authority for Roads, issued by Council of Ministers Decision No. (14) dated 1444/1/4 AH.

  • After reviewing Council of Ministers Decision No. (611) dated 1447/8/22 AH, issued regarding the National Framework for Fees and Financial Charges.

  • After reviewing memoranda No. (114) dated 1446/1/5 AH, No. (3351) dated 1446/10/11 AH, No. (4162) dated 1446/12/28 AH, No. (832) dated 1447/2/25 AH, No. (1462) dated 1447/4/17 AH, and the process record No. (136) dated 1447/11/26 AH, prepared by the Bureau of Experts at the Council of Ministers.

  • After reviewing the record prepared by the Council of Economic and Development Affairs No. (1925/47/M) dated 1447/12/25 AH.

  • After reviewing the recommendation of the General Committee of the Council of Ministers No. (1780) dated 1448/2/15 AH.

  • It is decided as follows:

    • First: Approval of the Regulation of the General Authority for Roads, in the attached form.
    • Second: The regulation referred to in item (First) of this decision shall replace the Organizational Arrangements of the General Authority for Roads, issued by Council of Ministers Decision No. (14) dated 1444/1/4 AH.
    • Third: The exercise of the powers stipulated in paragraph (12) of Article (Six) of the regulation referred to in item (First) of this decision shall be by the Board of Directors of the General Authority for Roads in accordance with Council of Ministers Decision No. (611) dated 1447/8/22 AH, issued regarding the National Framework for Fees and Financial Charges.
    • Fourth: The Board of Directors of the General Authority for Roads - formed pursuant to Article (Five) of the Organizational Arrangements of the General Authority for Roads, issued by Council of Ministers Decision No. (14) dated 1444/1/4 AH - shall continue to exercise the powers and competencies of the Board stipulated in Article (Six) of the regulation referred to in item (First) of this decision until the end of its term or until a new Board of Directors is formed for the Authority in accordance with Article (Five) of the regulation, whichever is earlier.
    • Fifth: The General Authority for Roads shall continue to carry out operational works related to roads (outside urban areas) including planning, design, implementation, maintenance, and supervision until these works are assigned to other entities.

Article 1

  • The following words and phrases - wherever they appear in this Statute - shall have the meanings indicated next to each, unless the context requires otherwise:

    • The Authority: The General Panel for Roads.
    • The Statute: The Authority's Statute.
    • The Minister: The Minister of Transport and Logistic Services.
    • The CEO: The Chief Executive Officer of the Authority.
    • The Council: The Board of Directors of the Authority.
    • Roads: All roads in the Kingdom of Saudi Arabia.
    • Saudi Roads Code: The set of standards and specifications related to the design, construction, operation, maintenance, and safety of roads; in accordance with quality, safety, and environmental standards.

Article 2

The Authority enjoys public legal personality, financial and administrative independence, and is organizationally affiliated with the Minister. Its main headquarters shall be in the city of Riyadh, and it may establish branches or offices within the Kingdom as needed.

Article 3

The Authority aims to regulate the road sector, in a manner that supports the transportation process and logistics services in the Kingdom, and empowers the entities operating in this sector, thereby reflecting positively on the economic development in the Kingdom.

Article 4

Article 5

  • 1- The Authority shall have a Board of Directors chaired by the Minister, and membership shall include:

    • A- The Chief Executive Officer.
    • B- A representative from the Ministry of Energy.
    • C- A representative from the Ministry of Interior.
    • D- A representative from the Ministry of Finance.
    • E- A representative from the Ministry of Municipal and Housing Affairs.
    • F- A representative from the Ministry of Transport and Logistic Services.
    • G- A representative from the Transport General Authority.
    • H- A representative from the Saudi Contractors Authority.
    • I- A representative from the Development Authorities Support Center.
    • J- Two private sector members related to the roads sector, appointed by an order from the Council of Ministers based on a nomination from the Minister, with a membership term of three (3) years renewable once.
  • 2- The rank of representatives of government entities shall not be less than (fourteenth) grade or its equivalent.

  • 3- The Chairman of the Board may delegate whomever he deems fit to chair the Board in his absence from among the members representing government entities, excluding the Chief Executive Officer.

Article 6

  • The Council is the supreme authority of the Authority, responsible for supervising it and managing its affairs. It has the power to exercise all authorities and make all necessary decisions to achieve its objectives within the limits of the statute provisions. In particular, it has the following powers:

    • 1- Approving the general policies related to the Authority’s competencies.
    • 2- Approving the strategic plans related to roads.
    • 3- Supervising the implementation of the tasks assigned to the Authority.
    • 4- Approving the Authority’s plans, policies, and programs, and following up on their implementation.
    • 5- Approving the regulations and rules for supporting investment activities and value-added services for roads outside urban areas, including supporting services.
    • 6- Approving the Saudi Roads Code and its annexes, and monitoring compliance with them.
    • 7- Approving the regulations for delegating some of the Authority’s tasks to government entities—after agreement with them—or to the private sector, in accordance with the statutory procedures.
    • 8- Considering all matters related to the allocation of roads outside urban areas, and submitting reports on this in accordance with the statutory provisions regulating allocation.
    • 9- Approving the technical requirements for licenses and permits related to the Authority’s competencies.
    • 10- Approving the organizational structure and organizational manual of the Authority.
    • 11- Ratifying the administrative and financial regulations of the Authority and other regulations necessary for its operation, provided that the ratification of administrative regulations is in agreement with the Ministry of Human Resources and Social Development, and the ratification of financial regulations and provisions with financial impact in other regulations is in agreement with the Ministry of Finance.
    • 12- Approving the financial fees for exploiting roads outside urban areas and their protected zones, and determining the methods of their collection, in accordance with statutory procedures and relevant mechanisms.
    • 13- Approving the establishment of branches and offices of the Authority within the Kingdom.
    • 14- Reviewing periodic reports submitted on the progress of work in the Authority and its financial status.
    • 15- Approving the Authority’s budget, final account, annual report, and auditor’s report, and submitting them according to the applicable statutory procedures.
    • 16- Approving the conclusion of agreements, protocols, and contracts, according to the applicable statutory procedures.
    • 17- Accepting gifts, grants, endowments, bequests, donations, and waqf, according to the applicable statutory procedures.
    • 18- Appointing an external auditor for the Authority and an internal financial controller.
  • The Council may delegate its powers mentioned in paragraphs (16) and (17) to its Chairman or to any of its members or employees of the Authority as it deems appropriate.

  • The Council may form permanent and temporary committees from among its members or others, assign them tasks as it deems appropriate, and determine by decision the formation of each committee, its chairman, members, and competencies. These committees may seek assistance from whomever they deem necessary to perform the assigned tasks.

Article 7

1- The Council meetings shall be held at the Authority's headquarters, chaired by the President of the Council or his deputy, and may, if necessary, be held at another location within the Kingdom.

2- The Council shall hold its meetings regularly at least four (4) times a year. The President of the Council or his deputy may call for a meeting whenever necessary or upon the request of at least one-third (1/3) of the members. The invitation must be accompanied by the meeting agenda.

3- The meeting shall be valid if attended by the majority of the members, including the President of the Council or his deputy. Decisions shall be issued by the majority vote of those present, and in the event of a tie, the side that the meeting President voted for shall prevail.

4- A Council member shall not abstain from voting nor delegate another member to vote on his behalf in his absence. The objecting member may record his objection and the reasons for it in the meeting minutes.

5- The Council’s deliberations and decisions shall be documented in minutes signed by the meeting President and the attending members.

6- If necessary and in urgent cases as determined by the President of the Council or his deputy, meetings may be held and voted on remotely through the use of technology means. Decisions may be made by circulation among the members and signed to indicate that all members have been informed. Such decisions shall not be considered valid unless circulated to all members, voted on by all members, and approved by the majority of their votes.

7- The Council shall have a secretary from the Authority’s staff, chosen by the President of the Council based on the nomination of the CEO. The secretary shall be responsible for the Council’s secretariat, preparing meetings, recording minutes, deliberations, and decisions, and attending Council meetings without having the right to vote.

8- The Council may invite specialists and consultants it deems necessary to attend its meetings without granting them the right to vote.

9- Decisions that the Council deems necessary to notify licensees or those dealing with the Authority’s services shall be published in the Official Gazette and by any other means the Council considers appropriate, provided that such publication does not prejudice the public interest or work secrets. The Authority shall directly notify the concerned entities of these decisions by the appropriate method.

Article 8

  • The Authority shall have a Chief Executive Officer, who is appointed and relieved of his position by a decision of the Council based on a nomination from the Chairman of the Council. The decision shall specify his salary and other financial benefits in a manner that does not conflict with the relevant laws and decisions. He shall be responsible for managing the Authority and conducting its affairs, with his responsibilities and powers concentrated within the limits stipulated by the statute and as decided by the Council. In particular, he shall exercise the following powers:

    • 1- Propose general policies related to the Authority’s competencies and submit them to the Council for approval.
    • 2- Propose strategic plans related to roads and submit them to the Council for approval.
    • 3- Propose the Authority’s plans, policies, and programs, submit them to the Council for approval, and work on their implementation after approval.
    • 4- Propose regulations and rules for supporting investment activities and value-added services for roads outside urban areas, including supporting services, and submit them to the Council for approval.
    • 5- Propose the Saudi Roads Code and its annexes, submit them to the Council for approval, and follow up on compliance after approval.
    • 6- Propose regulations for delegating some of the Authority’s tasks to government entities or the private sector, and submit them to the Council for approval.
    • 7- Propose technical requirements for licenses and permits related to the Authority’s competencies, and submit them to the Council for approval.
    • 8- Supervise the preparation of the organizational structure and organizational manual of the Authority, its administrative and financial regulations, and the necessary regulations to facilitate its work, and submit them to the Council for ratification.
    • 9- Follow up on the implementation of decisions issued by the Council or decisions related to the Authority’s work.
    • 10- Sign agreements, protocols, and contracts after the Council’s approval and in accordance with the applicable legal procedures.
    • 11- Contract with the Authority’s employees in accordance with the Authority’s approved regulations.
    • 12- Disburse from the approved budget and take financial measures in accordance with the established laws, regulations, and delegated powers from the Council.
    • 13- Organize the Authority’s participation in regional and international exhibitions and conferences related to the road sector.
    • 14- Issue necessary decisions to implement the provisions of the statute, the regulations issued pursuant thereto, and the approved rules and procedures according to the powers granted to him.
    • 15- Supervise the Authority’s personnel and exercise the financial and administrative powers granted to him in accordance with the statute and as determined by the regulations.
    • 16- Supervise the preparation of the Authority’s draft budget, annual report, and draft final account, and submit them to the Council for approval.
    • 17- Submit periodic reports to the Council on the progress of work in the Authority and its financial position.
    • 18- Approve the necessary plans and programs for training, scholarships, and secondment of the Authority’s personnel in all its competencies, and follow up on their implementation.
    • 19- Represent the Authority before judicial, administrative, and other entities inside and outside the Kingdom, and may delegate others to do so.
    • 20- Any other task assigned to him by the Council.
  • The Chief Executive Officer may delegate any of his powers to other personnel of the Authority.

Article 9

Employees of the Authority are subject to the provisions of the Labor Law and the Social Insurance Law.
