Regulatory Arrangements for the Royal Commission for the City of Mecca and the Holy Sites

Firstly

  • The following terms and phrases, wherever they appear in these arrangements, shall have the meanings indicated next to each of them, unless the context requires otherwise:

    • 1- The Commission: The Royal Commission for Makkah City and Holy Sites.

    • 2- The Arrangements: The organizational arrangements of the Commission.

    • 3- The Council: The Board of Directors of the Commission.

    • 4- The President: The President of the Council.

    • 5- The Chief Executive: The Chief Executive Officer of the Commission.

    • 6- The Geographic Scope: Makkah City and the Holy Sites, and any locations outside their boundaries as determined by the Council that are related to the objectives, competencies, and tasks of the Commission and the services provided to the guests of Allah, including pilgrims and Umrah performers.

Second

1- The Authority enjoys public legal personality and financial and administrative independence, and is organizationally linked to the Prime Minister.

2- The headquarters of the Authority shall be in the city of Mecca, and it may establish offices as needed.

Third

The authority aims to enhance the businesses and services related to developmental, social, health, educational, cultural, municipal, technological, water, environmental, commercial, investment, hotel, housing, tourism, antiquities, transportation, communications, energy, and other developmental and service fields, as well as the related businesses, services, and projects from regulatory, administrative, and operational aspects - except for security fields - provided within the geographical scope, in a manner that suits the sanctity and status of the city of Mecca and the holy sites, and ensures that the guests of the Holy House of God, including pilgrims and Umrah performers, receive the highest quality services.

Fourth

  • The Authority is considered the supreme authority overseeing the works, services, and projects within the geographical scope, and for this purpose, it may undertake all necessary actions to achieve its objectives, particularly the following:

    • 1- Formulating general policies for the development and growth of the geographical scope.

    • 2- Proposing statutes, rules, and regulations related to the Authority's competencies and tasks, and proposing amendments to those in force, to be issued by a decision of the Council, and then completing the necessary legal procedures regarding them, without affecting the implementation of those statutes, rules, and regulations.

    • 3- Preparing comprehensive strategic plans, studies, and schemes, as well as executive programs related to the Authority's competencies and tasks, approving them, and monitoring their implementation.

    • 4- Reviewing plans, studies, schemes, and executive programs prepared by ministries and government agencies operating within the geographical scope, including those related to services provided therein related to the fields mentioned in item (Third) of these arrangements; and taking necessary actions regarding them.

    • 5- Determining what is transferred to the Authority - wholly or partially - from the competencies and tasks of ministries and government agencies related to the Authority's competencies and tasks, and the mechanism for that, provided that the transfer includes - as deemed by the Authority - what has been allocated to those ministries and government agencies from assets, properties, financial allocations, human resources, and the like.

    • 6- Developing strategies, business models, and partnerships with the private and non-profit sectors, and the necessary financing plans in this regard, and setting related financial compensation, and amending the existing ones.

    • 7- Reviewing and approving land division plans.

    • 8- Establishing rules, regulations, and standards for planning the geographical scope, including those related to building codes, design of buildings, roads, commercial establishments, and others, and land uses, to achieve the highest levels of development and growth.

    • 9- Direct supervision of the planning, design, and implementation of existing programs and projects within the geographical scope - before the establishment of the Authority and its assumption of its competencies and tasks - and related operational and maintenance works. The Authority has the authority to direct the suspension of those programs and projects or introduce amendments to them.

    • 10- Reviewing plans, programs, and projects related to the Authority's work; prepared by other ministries and government agencies, and approving them; to ensure balanced development within the geographical scope.

    • 11- Arranging priorities for the implementation of works, services, projects, and programs within the geographical scope, including those implemented by all entities operating therein, and monitoring them.

    • 12- Coordinating and organizing efforts between ministries and other government agencies within the geographical scope, according to approved plans and programs.

    • 13- Coordinating with all ministries, other government agencies, and others; to ensure the implementation of the tasks and competencies assigned to the Authority and achieve its objectives.

    • 14- Identifying real estate that the Authority deems necessary to expropriate for the development of the geographical scope, in coordination with the Holy Capital Municipality and relevant entities, and completing the necessary legal procedures in this regard.

    • 15- Supervising the rehabilitation and improvement of existing urban neighborhoods, addressing the situation of informal areas, and developing and upgrading them urbanistically, socially, economically, securely, and environmentally.

    • 16- Establishing and managing an urban information database and systems; to serve as a unified platform and primary reference for information relied upon by entities related to the development of the geographical scope.

    • 17- Developing programs, mechanisms, necessary procedures, and incentive means for the participation of the non-governmental sector (private and others) in achieving development goals and implementing projects and services within the geographical scope, and supervising them.

    • 18- Establishing companies or contributing to their establishment or entering into them, in accordance with legal procedures.

    • 19- Cooperating with research centers, specialized institutions, and expert houses at the local and international levels; to contribute to achieving the objectives for which the Authority was established.

    • 20- Representing the Kingdom in relevant local, regional, and international bodies and organizations, in accordance with legal procedures.

Fifth

  • 1- All ministries and other government agencies that perform tasks or provide services within the geographical scope are obligated to implement the decisions and instructions issued by the Authority, in accordance with what it deems to achieve its objectives in light of the competencies and tasks entrusted to it under these arrangements, especially those related to the fields mentioned in item (Third) of these arrangements.

  • 2- The Authority may undertake by itself the tasks mentioned in paragraph (1) of this item, and in this case, the ministries and other government agencies must execute the tasks and the like requested by the Authority, unless the Authority decides to assign those tasks to others.

Sixth

1- The Authority may request any information, data, or reports from ministries and other government agencies as required by the nature of its work, services, and projects; and take what it deems appropriate in this regard in light of the Authority's objectives and submit what is necessary concerning that.

2- The provision of information, data, and reports to the Authority shall be done electronically, as much as possible, in accordance with the regulations and instructions.

Seventh

The Authority shall have a Board of Directors chaired by the Deputy Prime Minister, and its members shall be appointed by an order from the Prime Minister.

Eighth

Previous Amendments
  • The council is the supreme authority over the affairs of the authority and the management of its matters, and it takes all necessary decisions to achieve its objectives and implement its competencies and tasks referred to in item (Fourth) of these arrangements, and in particular, it has the following:

    • 1- Approving the general policies for developing the geographical scope.

    • 2- Approving comprehensive strategic plans, studies, and schemes, as well as executive programs related to the authority's competencies and tasks.

    • 3- Determining the places within the geographical scope, and arranging the priorities for implementing works, services, projects, and programs related to the authority's objectives, competencies, tasks, and services provided to the guests of the Merciful, including pilgrims and Umrah performers.

    • 4- Approving the transfer to the authority - wholly or partially - of the competencies and tasks of ministries and other government agencies related to the authority's competencies and tasks, the mechanism for that, and determining what is transferred from the assets, properties, financial allocations, human resources, and the like allocated to those ministries and other government agencies.

    • 5- Approving land division plans.

    • 6- Approving the rules, regulations, and standards for planning the geographical scope, including building codes, the design of buildings, roads, commercial establishments, and others, and land uses.

    • 7- Approving the organizational structure of the authority.

    • 8- Approving the administrative, financial, and technical regulations of the authority.

    • 9- Approving the establishment of offices for the authority.

    • 10- Approving the organization related to state properties within the authority's jurisdiction, including selling, purchasing, leasing, investing, benefiting, or endowment, and it has the authority to approve what it deems appropriate of rules or regulations related to that.

    • 11- Approving the establishment of companies or participating in their establishment or entering into them, according to legal procedures.

    • 12- Issuing licenses and permits related to works and services within the authority's competencies.

    • 13- Approving financial compensation for the works and services provided by the authority, such as licenses, permits, and the like.

    • 14- Approving the acceptance of donations, gifts, endowments, wills, and grants, according to the regulations governing that.

    • 15- Approving the conclusion of agreements and contracts, according to the regulations governing that, including financing contracts for projects within the authority's jurisdiction, and it has the authority to provide the amounts collected from the financial compensation mentioned in paragraph (13) of this item as a guarantee for those contracts, according to the procedures and mechanisms agreed upon in this regard with the Ministry of Finance.

    • 16- Reviewing the periodic reports submitted by the CEO on the progress of the authority's work and taking what it deems appropriate regarding them.

    • 17- Appointing an external auditor (or more) and an internal financial controller.

    • 18- Approving the authority's budget project, final account, and annual report, in preparation for submission according to legal procedures.

    • 19- Delegating any of the authority's competencies to whomever it deems from government entities.

    • 20- Approving the establishment of centers that are organizationally linked to the authority to undertake some of the authority's competencies and tasks, and the authority arranges their financial and administrative situations, including granting them financial and administrative independence, and determining the means and mechanisms for implementing their competencies and tasks, provided that the budget of those centers is included within the budget allocated to the authority.

    • The council may form permanent or temporary committees from its members, the authority's employees, or others, entrusted with the tasks and powers it deems appropriate, and the decision to form each committee specifies its president, members, and competencies, and it may seek the assistance of whomever it deems to perform the tasks assigned to it.

    • The council may also delegate some of its competencies to the president or whomever it deems from its members or the authority's employees.

Ninth

  • 1- The council meets at the invitation of the president at least four times a year, or whenever necessary as determined by the president, or if requested by at least three of its members. The president may delegate one of the council members to preside over the meetings in his absence.

  • 2- For the council meeting to be valid, a majority of its members, including the president or his delegate, must be present. Decisions are made by a majority of the votes of those present, and in the event of a tie, the side with which the meeting president voted prevails.

  • 3- The council's deliberations and decisions are recorded in minutes signed by the meeting president and the members present.

  • 4- The council may issue a decision by circulation, in which case the approval of all council members is required, and this decision is presented to the council at the next meeting to be recorded in the meeting minutes.

  • 5- A member may not abstain from voting or delegate another to vote on his behalf in his absence. A member who objects to any decision may record his objection with reasons in the meeting minutes.

  • 6- The council may invite those whose information and expertise it deems useful to attend its sessions without granting them voting rights.

  • 7- The council communicates its decisions to the relevant authorities in the manner it deems appropriate.

Tenth

  • The Authority shall have a Chief Executive Officer who is appointed and relieved from his position by a decision of the Council. The decision shall determine his salary and other financial benefits. He is responsible for managing the affairs of the Authority and conducting its operations. His responsibilities are concentrated within the limits stipulated by the arrangements and as decided by the Council, and he exercises the following tasks and powers:

    • 1- Proposing general policies for the development of the geographical scope.

    • 2- Supervising the preparation of comprehensive strategic plans, studies, and schemes, as well as the executive programs related to the development of the geographical scope, and following up on their implementation after approval.

    • 3- Proposing the organizational structure of the Authority.

    • 4- Proposing the administrative, financial, and technical regulations of the Authority, and supervising their implementation after approval.

    • 5- Concluding agreements and contracts after the approval of the Council, or according to the powers granted to him.

    • 6- Representing the Authority before the judiciary and with government entities and other entities inside and outside the Kingdom; and he may delegate others to do so.

    • 7- Submitting periodic reports to the Council on the progress of the Authority's work, achievements, and activities; in preparation for completing what is necessary regarding them.

    • 8- Supervising the preparation of the Authority's budget project, final account, and annual report; in preparation for presenting them to the Council.

    • 9- Issuing orders for the Authority's expenditures and purchases and taking all procedures, according to what is determined by the Authority's administrative and financial regulations.

    • 10- Appointing employees and supervising them, according to what is determined by the Authority's administrative and financial regulations.

    • 11- Submitting recommendations to the Council regarding subjects within its jurisdiction.

    • 12- Following up on the implementation of decisions issued by the Council or decisions related to the Authority's work.

    • 13- Carrying out tasks assigned to him by the Council.

    • The Chief Executive Officer may delegate some of his tasks and powers to whomever he deems appropriate from the Authority's staff.
