Statute of the Saudi Quality Association

Article 1

The following words and phrases are defined as follows:
Ministry: Ministry of Commerce and Industry.
Minister: Minister of Commerce and Industry.
Association: Saudi Quality Association.
Regulation: Regulation of the Association.
Internal Regulation: Internal Regulation of the Organization.
General Assembly: General Assembly of the Association.
Council: Board of Directors of the Association.
President: President of the Council.
General Secretary: General Secretary of the Association.

Article 2

The association is a professional non-profit organization with legal personality and independent financial liability, operating under the supervision of the Ministry, headquartered in the city of Riyadh, and has the authority to establish branches and offices within the Kingdom by a decision of the General Assembly.

Article 3

The aim of the association is to improve the quality of services, products, and information, and to develop them, to promote the culture of quality and its concepts, to encourage its application in both the governmental and non-governmental sectors, and to contribute to the field of quality as a center of expertise.

Article 4

The tasks of the association are:
1- Promoting the culture of quality and its concepts and encouraging its application in both the governmental and non-governmental sectors.
2- Conducting studies, research, and statistics in the field of quality, supporting and publishing them, and issuing scientific and professional journals in this field.
3- Organizing conferences, seminars, and training courses, and holding exhibitions related to quality activities, in accordance with the regulations and instructions.
4- Proposing the foundations and standards governing professional practice in the field of quality, and developing them, including the conditions for licensing to practice it, and submitting them to the relevant authorities.
5- Collaborating with entities seeking to practice quality in order to qualify them to engage in this activity.
6- Collecting information about establishments specialized in quality and individuals specialized in this field, and creating a database for this purpose.
7- Studying the regulations, rules, and standards related to quality, recommending any amendments to them, and presenting them to the competent authority.
8- Proposing the establishment of awards in the field of quality, and participating in setting the necessary standards to obtain them.
9- Providing consultations and technical support in the field of quality.
10- Collecting information in the field of quality and supplying it to the relevant entities.
11- Contributing to supporting national quality programs to enhance the level of quality of products and services in the Kingdom.
12- Collaborating with committees, bodies, scientific associations, and entities related to the field of quality, similar to it inside and outside the Kingdom.
The regulation specifies the details of these tasks, provided that they do not overlap with the tasks and competencies of ministries, authorities, and other entities as per the law.

Article 5

The membership of the association consists of:
1- Regular Membership.
2- Associate Membership.
3- Participating Membership.
4- Honorary Membership.
The Regulation specifies the conditions and criteria for membership, while the suspension or dismissal of a Council member shall be after the approval of two-thirds of the Council members and the Minister's endorsement.

Article 6

The General Assembly consists of the primary members who have paid their annual subscriptions. The General Assembly holds its regular meetings once a year, and it holds extraordinary meetings as determined by the Regulation. A notice for the General Assembly meetings is sent out at least twenty days prior to the date of the meeting, specifying the time and place of the meeting. The meeting is valid with the presence of the majority of the primary members. In the event that the meeting cannot be held due to a lack of quorum, a notice is sent for another meeting to be held after twenty days, and the meeting is valid regardless of the number of attendees. Decisions of the General Assembly are made by a majority of the votes of those present.

Article 7

The General Assembly is responsible for the following:
1 - Approving the internal organization of the association.
2 - Approving the regulation.
3 - Approving the membership fees.
4 - Approving the final accounts of the association, appointing an auditor for its accounts, and determining their remuneration. However, the Council shall appoint the auditor for the first term and determine their remuneration, and a copy of this shall be provided to the Ministry.
5 - Approving the work plan of the association presented by the Council, and adopting the annual report on its activities.
6 - Electing members of the Council from among the members of the General Assembly.

Article 8

1- The Council consists of ten members from the primary members elected by the General Assembly, and the Regulation specifies the necessary procedures for this and the requirements for candidates. The Council is responsible for selecting the President and his Deputy from among its members by secret ballot at its first meeting.
2- The term of membership is three years, renewable once.
3- The Council holds a meeting at least every three months, or when requested by the President to convene a meeting, or by five of its members.
4- Meetings are held in the presence of the majority of members, including the President or his Deputy, and the decisions of the Council are made by a majority of the votes of those present. In the event of a tie, the side that the President of the meeting voted for prevails.
5- The General Secretary attends the meetings of the Council without having the right to vote.

Article 9

The Council exercises the necessary powers to manage the affairs of the Association and achieve its objectives and missions as stipulated in Articles (Three) and (Four) of the Regulation. It has, in particular, the following responsibilities:
1- Calling the General Assembly to convene.
2- Proposing the internal organization of the Association.
3- Proposing the Regulation.
4- Proposing the value of membership fees.
5- Preparing the final accounts of the Association.
6- Preparing the annual Report on the activities of the Association and proposing its work plan.
7- Approving the annual Budget of the Association.
8- Forming technical and scientific committees and branches, and establishing rules for the exercise of their duties.
9- Appointing the General Secretary and his deputy, and defining their duties, responsibilities, and rights.
10- Accepting gifts, donations, and endowments.
11- Approving the investment policy for the Association's funds.

Article 10

  • 1- The financial resources of the association consist of the following:

    • A- Government grants, if any.

    • B- Membership fees.

    • C- Gifts, donations, and endowments.

    • D- The monetary compensation that the association collects in return for the services it provides.

    • E- The return on investment of the association's funds.

  • 2- The association's cash funds shall be deposited in its name at one of the banks in the Kingdom.
