Statute of the Saudi Association for Tourist Accommodation Facilities

Article 1

Previous Amendments

The following words and phrases, wherever they appear in this regulation, shall have the corresponding meanings:
Ministry: Ministry of Tourism.
Association: Saudi Association for Tourism Accommodation Facilities.
General Assembly: General Assembly of the Association.
Council: Board of Directors of the Association.
President: President of the Board of Directors of the Association.
Director: Executive Director of the Association.
Core Members: Members of the Association representing tourism accommodation facilities.
Executive Body: Executive Body of the Association.
Regulation: Regulation of the Association.
Internal System: Internal System of the Association.
Tourism Accommodation Facilities: Any place licensed by the authority that primarily provides overnight accommodation services to tourists for a fee, whether this place is a hotel or any other residential unit serving the same purposes, along with any supporting services.

Article 2

Previous Amendments

In accordance with this regulation, an association shall be established called the Saudi Association for Tourism Accommodation Facilities. It is a professional association with a legal personality and an independent financial liability, operating under the supervision of the Authority, with its headquarters located in the city of Riyadh. It may, by a decision of the Council, establish branches or offices in other cities within the Kingdom.

Article 4

1- Membership in the association is available to all tourism accommodation facilities, and the council may propose the membership of other parties related to the purposes of the association who are not engaged in the activity. The internal regulations specify the types of membership, their conditions, provisions, the duties of the member, and their rights.
2 - Each accommodation facility shall designate a representative for its membership in the association.

Article 5

The General Assembly consists of the members of the association who have fulfilled their obligations to it, in accordance with what is stipulated in the internal regulations.

Article 6

1- The General Assembly shall hold a meeting chaired by the President - or his delegate - once every year within a period not exceeding (3) three months from the end of the financial year of the Assembly. It may also hold extraordinary meetings when necessary, upon the invitation of the Council or at the request of (5%) five percent of the members. The meetings shall be held at the headquarters of the Assembly, and based on a decision from the Council, they may be held at another location.
2- The meeting of the General Assembly shall be valid with the presence of the majority of the members. If the required quorum is not met, a second meeting shall be called to be held within thirty days following the previous meeting, and in this case, the meeting of the General Assembly shall be valid regardless of the number of attendees.
3- Decisions of the General Assembly shall be issued by a majority of the votes of those present, and in the event of a tie, the side that the President of the hearing voted for shall prevail.

Article 7

The General Assembly is responsible for considering the following matters:
1- Approving the work plan submitted by the Council and adopting the annual report.
2- Proposing amendments to the organization.
3- Approving the internal regulations.
4- Approving the internal bylaws of the association.
5- Adopting the annual budget of the association.
6- Appointing an auditor for the association.
7- Electing members of the Council.

Article 8

1- The Council consists of ten core members, elected by the General Assembly, and the internal regulations of the Assembly specify the necessary procedures for this and the requirements for candidates. The elected Council shall choose the President and Vice President from among its members by secret ballot.
2- The term of membership in the Council is three years, renewable.
3- The Council shall hold at least one Hearing every three months, as well as whenever requested by the President or three of its members.
4- The Hearings are held in the presence of the majority of the members, including the President or his Deputy.
5- The decisions of the Council are issued by a majority of the votes of those present; if the votes are equal, the side with which the President of the Hearing voted shall prevail.
6- The Director attends the Hearing without having the right to vote.

Article 9

The Council shall oversee the activities of the Association in a manner that achieves the objectives for which it was established, as specified in this regulation, and within the limits set by the applicable laws and regulations in the Kingdom. It shall specifically have the following responsibilities:
1- Study proposals related to the development of the Association's work.
2- Prepare the annual report on the Association's activities and propose a work plan for it.
3- Supervise the implementation and follow-up of the decisions of the General Assembly and the instructions received from the relevant authorities.
4- Approve the organization of seminars and conferences conducted by the Association concerning its activities.
5- Propose the internal regulations and submit them to the General Assembly.
6- Call the General Assembly to convene and prepare its agenda.
7- Accept donations, contributions, bequests, and endowments.
8- Approve the investment policy of the Association's funds and supervise the management of its properties and funds, and determine the banks in which its funds will be deposited.
9- Determine the financial fee for membership in the Association.
10- Supervise the collection of the Association's rights and the fulfillment of its obligations.
11- Prepare the administrative and financial regulations for the Association and other internal regulations.
12- Prepare the annual budget for the Association.
13- Form permanent and temporary specialized committees to assist the Association in achieving its objectives, appointing their members from among the Council members or others, approving their work procedures, and defining the duties and rewards of their members.
14- Appoint the director and define his responsibilities and rights.
The Council may delegate some of its powers to the president or his delegate.

Article 10

The association shall have a staff consisting of a director and a sufficient number of employees, who will carry out the executive tasks (specialist, financial, and administrative). The director supervises the staff, and the council defines its powers, responsibilities, rights, duties, and the conditions that must be met.
