Law of Saline Water Conversion Corporation

Article 1

Previous Amendments
  • The Saline Water Conversion Corporation is an independent public institution with legal personality, possessing all the rights necessary to carry out its activities. It is administratively affiliated with the Minister of Water and Electricity, headquartered in the city of Riyadh, and has the authority to establish branches or offices in the regions or cities determined by the Board of Directors.

Article 2

  • The main purpose of the institution is: to support the natural water resources through the desalination of saline water in the regions and cities of the Kingdom where natural resources are insufficient to meet their needs, and where it is decided to adopt the desalination method. The institution may produce electricity as a subsidiary activity whenever economic and technical reasons necessitate it, all in accordance with a comprehensive plan developed by the institution and approved by the Council of Ministers.

Article 3

Previous Amendments
  • The institution shall have all the necessary competencies to achieve the purposes stated in Article Two of this Law, and it shall specifically have:

    • A) The implementation and management of desalination projects in the Kingdom, which includes expansion, operation, and maintenance processes.

    • B) Training Saudi citizens inside or outside the Kingdom in the fields of study, implementation, operation, and maintenance of desalination projects.

    • C) Concluding agreements and contracts for the sale and purchase of water, electricity, and steam with entities engaged in production and distribution, whether governmental or private.

Article 4

Previous Amendments
  • The institution shall have a Board of Directors formed as follows:

    • - Minister of Environment, Water, and Agriculture  Chairman

    • - Governor of the institution   Vice Chairman 

    • - Undersecretary of the Ministry of Environment, Water, and Agriculture   Member

    • - Undersecretary of the Ministry of Municipal and Rural Affairs   Member

    • - Undersecretary of the Ministry of Finance   Member

    • - Undersecretary of the Ministry of Energy, Industry, and Mineral Resources   Member

    • - Undersecretary of the Ministry of Economy and Planning   Member

    • - Two members from the private sector with the required capacity, appointed by a decision of the Council of Ministers based on a nomination from the Minister of Water and Electricity, with a term of three years renewable once.

Article 5

  • The remuneration of the members of the Board of Directors shall be determined by a decision of the Council of Ministers.

Article 6

Previous Amendments
  • The Board of Directors of the institution is the governing authority over its affairs, managing its matters, setting the general policy it follows, and monitoring its implementation. To this end, it has the authority to:

    • A) Issue decisions and executive regulations related to the workflow system of the institution from both technical and administrative aspects.

    • B) Issue the staff regulation of the institution after preparing it in agreement with the Civil Service Bureau.

    • C) Issue the financial regulation of the institution after preparing it in agreement with the Ministry of Finance and National Economy.

    • D) Approve the draft budget of the institution and its final accounts.

    • E) Establish rules for granting rewards for the various activities of the institution and determine their categories.

    • F) Establish, purchase, sell, lease, and rent real estate to achieve the purposes of the institution, and it may lease these properties for water or electricity production projects, or both, at nominal prices.

Article 7

  • The Board of Directors meets at least once a month at the invitation of its President or at the request of four of its members. The meeting of the Council is not considered valid unless a majority of the members, including the President, are present. Decisions are made by a majority of the votes of those present, and in the event of a tie, the side in which the President is present prevails. Meetings of the Board of Directors are held at the headquarters of the institution, and if necessary, the Council may convene in another location within the Kingdom.

Article 8

  • The institution shall have a governor at the excellent rank, who is appointed by a royal decree.

Article 9

  • The Governor of the institution is responsible for managing it and handling its affairs, and exercises the following powers:

    • A) Representing the institution in its relations with others and before the Judiciary, within the limits of the powers granted to him.

    • B) Implementing the decisions of the Board of Directors.

    • C) Proposing the institution's plans and programs, implementing them, and supervising them, after obtaining the approval of the Board of Directors.

    • D) Supervising the preparation of the draft general Budget of the institution and the draft final accounts and submitting them to the Board of Directors.

    • E) Supervising the employees, users, and workers of the institution, issuing administrative decisions related to organizing the institution's departments and defining their powers, and ensuring the proper conduct of work.

    • F) Issuing expenditure orders related to the institution's expenses, and he may delegate others in this regard.

    • G) Proposing the regulations and executive decisions related to the workflow system in the institution and presenting them to the Board of Directors.

    • H) Carrying out the powers granted to him by the decisions of the Board of Directors, the law, and the regulations of the institution.

    • I) Preparing the annual report on the institution's activities and presenting it to the Board of Directors.

  • The Governor may delegate others to exercise some of his powers. The Board of Directors is considered the reference for the Governor of the institution.

Article 10

Previous Amendments
  • The assets of the institution consist of:

    • أ) Desalination plants and the lands on which they are located throughout the Kingdom, as well as all fixed and movable property designated for desalination and belonging to the Ministry of Environment, Water, and Agriculture at the time this law comes into effect, and any other assets that the state may transfer to the ownership of the institution.

    • ب) The income generated by the institution from engaging in activities that fall within its purposes.

    • جـ) Donations, grants, and bequests.

    • د) Other resources that the Board of Directors decides to add to the institution's assets.
