Statute of the General Entertainment Authority

Article 1

The words and phrases listed below - wherever they appear in this regulation - shall have the meanings specified next to them, unless the context requires otherwise:
The Authority: General Entertainment Authority.
The Regulation: Regulation of the Authority.
The Council: Board of Directors of the Authority.
The President: President of the Council.
The Chief Executive Officer: Chief Executive Officer of the Authority.

Article 2

The authority enjoys legal personality and financial and administrative independence, and is organizationally linked to the President of the Council of Economic and Development Affairs. Its main headquarters is located in the city of Riyadh, and it has the authority to establish branches or offices within the Kingdom as needed.

Article 3

Previous Amendments

The Authority aims to regulate and develop the entertainment activity in the Kingdom, elevate all its elements, components, and capabilities, and monitor it in coordination with the relevant authorities. Without prejudice to the competencies and responsibilities of other entities, it shall undertake all necessary measures to achieve its objectives, including the following:

1- Proposing draft laws and regulatory policies related to entertainment activity and submitting them to complete the statutory procedures.

2- Developing strategies, plans, and programs necessary to organize the entertainment sector in the Kingdom, and coordinating when needed with the relevant authorities in both the governmental and private sectors.

3- Organizing training courses in coordination with the relevant authorities, and attracting competencies to develop the entertainment sector.

4- Setting standards for conducting entertainment activities and monitoring their implementation, in coordination with the relevant authorities.

5- Establishing regulations and performance measurement standards in the entertainment sector to ensure obtaining entertainment activities of a high professional level.

6- Creating a database containing all governmental and private facilities prepared to host entertainment activities.

7- Creating a database containing the classification of entertainment activities and facilities, their evaluation, the extent to which they achieve their objectives, and any related information.

8- Licensing the conduct of entertainment activities and supervising them, in coordination with the relevant authorities.

9- Setting content regulations for entertainment in coordination with the relevant authorities, in accordance with the relevant laws, and consistent with the Kingdom’s Arab and Islamic identity.

10- Establishing mechanisms necessary to measure customer satisfaction in the entertainment sector and taking what is necessary to raise its rates.

11- Cooperating and exchanging expertise with regional and international authorities and organizations, and specialized expertise centers inside and outside the Kingdom, within the Authority’s competencies.

12- Hosting international forums, and organizing local and international exhibitions and forums, within the Authority’s competencies, in coordination with the relevant authorities, and according to the followed statutory procedures.

13- Representing the Kingdom in regional and international authorities, organizations, and forums related to the Authority’s competencies, in accordance with the followed statutory procedures.

14- Proposing the allocation of government lands and submitting this to the competent authority according to statutory procedures to consider the possibility of private sector investment in the entertainment activities stipulated in the Entertainment Activities Law and its supporting activities.

Article 4

Previous Amendments

The Authority shall have a Board of Directors composed of a Chairman appointed by a royal decree, and the membership shall include:
1- No less than three representatives from government entities related to the work of the Authority, with each member holding a rank not lower than the fourteenth rank or its equivalent. These entities shall be determined by a decision from the Council of Economic and Development Affairs based on a proposal from the Board.
2- Five individuals who are interested, specialized, and experienced in fields related to the work of the Authority, appointed by a decision from the Council of Ministers based on a proposal from the Chairman of the Council of Economic and Development Affairs. 
The membership of the members referred to in paragraphs (1) and (2) shall be for a period of three (3) years, renewable for one additional term.

Article 5

The Council is responsible for overseeing the management of the Authority's affairs and conducting its matters, and it makes all necessary decisions to achieve its objectives within the limits provided by the Law. In particular, it has the following responsibilities:
1- Approving the policies related to the Authority's activities, as well as the strategies, plans, and programs necessary for their implementation, and raising any matters that require the completion of legal procedures.
2- Proposing draft laws related to the Authority's competencies, amending the existing ones, and submitting them for the purpose of completing the legal procedures. 
3- Approving the administrative and financial regulations - in agreement with the Ministry of Finance - and other internal regulations necessary for the operation of the Authority.
4- Approving the organizational structure of the Authority, in accordance with the established legal procedures.
5- Approving the establishment of branches and offices for the Authority.
6- Determining the financial compensation for the services and works provided by the Authority that the Council deems appropriate to charge a fee for, within the limits of its competencies.
7- Appointing an external auditor and an internal financial controller.
8- Approving the Authority's annual budget project, its final account, the auditor's report, and the annual report; in preparation for submitting them in accordance with the established legal procedures.
9- Reviewing the periodic reports submitted regarding the progress of work in the Authority.
10- Approving the conclusion of agreements, protocols, and contracts, according to the established legal procedures.
11- Accepting gifts, donations, grants, and bequests, in accordance with the regulations governing that.
The Council, in order to achieve its competencies, may form permanent or temporary committees from its members or others, assigning to them tasks it deems appropriate, and specifying in the decision to form each committee its chairperson, members, and competencies, and it may seek assistance from whomever it deems necessary to perform the assigned tasks.
 The Council may also delegate some of its competencies to its chairperson or to any of its members or to the staff of the Authority.

Article 6

1- The Council meetings are held at the headquarters of the Authority, and may be held at another location within the Kingdom when necessary.
2- The Council holds its meetings periodically at least four times a year, or whenever deemed necessary by the President, or if requested by at least one-third of its members. The President may delegate any of the representatives of the government entities that are members of the Council to preside over the meetings in his absence.
3- The invitation to the meeting is sent by the President - in writing - at least seven days prior to the meeting date, and the invitation must include the agenda of the meeting. 
4- The Council meeting is valid if attended by the majority of the members - at least - including the President or his delegate, and decisions are made by a majority of the votes of those present. In the event of a tie, the side that the President of the meeting voted for prevails. 
5- The deliberations and decisions of the Council are recorded in minutes signed by the President of the meeting and the attending members.
6- Meetings may be held, and votes may be cast, remotely using technological means. Decisions may be made by circulation among the members, in which case the approval of all Council members on the decision is required, and this decision is presented to the Council at the first subsequent meeting to be recorded in the minutes of the meeting.
7- A member may not abstain from voting, or delegate another member to vote on his behalf in his absence. An objecting member has the right to record his objection and the reasons for the objection in the minutes.
8- A member may not disclose any information regarding the secrets of the Authority that he has come to know.
9- The Council may invite those it deems necessary from specialists and consultants to attend its meetings, without them having the right to vote.

Article 7

The Authority shall have a Chief Executive Officer, who is appointed and dismissed from his position by a Decision from the Council, which specifies his salary and other financial benefits, and he is responsible for managing the affairs of the Authority. His responsibilities are concentrated within the limits of the organization and what the Council decides, and he shall undertake the following competencies:
1- Proposing policies related to the Authority's activities, and the plans and programs necessary for their implementation, and submitting them to the Council.
2- Supervising the workflow in the Authority through the approved regulations, plans, and programs.
3- Taking necessary actions to implement the annual plans, programs, and decisions approved by the Authority's Council. 
4- Supervising the preparation of administrative, financial, and other internal regulations; in preparation for submitting them to the Council.
5- Proposing the organizational structure of the Authority and submitting it to the Council. 
6- Supervising the preparation of the Authority's annual report and draft budget and final accounts; in preparation for presenting them to the Council. 
7- Supervising the preparation of reports related to the implementation of the Authority's plans and programs, and presenting them to the Council.
8- Signing agreements, protocols, and contracts after obtaining the Council's approval, and in accordance with the applicable legal procedures.
9- Representing the Authority before judicial authorities, and before government entities, institutions, and other relevant bodies, as well as other entities inside and outside the Kingdom.
10- Disbursing from the Authority's budget, and taking all financial actions, in accordance with the approved laws and regulations, and within the limits of the powers delegated to him by the Council.
11- Contracting for the execution of works, services, and others, in accordance with the laws and powers delegated to him by the Council. 
12- Issuing the necessary Decisions to implement the provisions of the organization and the regulations issued thereunder, according to the powers granted to him.
13- Appointing employees in the Authority in accordance with the regulations governing that, and supervising them.
14- Any other competencies assigned to him by the Council.
The Chief Executive Officer may delegate some of his competencies to whomever he sees fit among the Authority's staff.

Article 8

The members of the Authority are subject to the provisions of the Labor Law and the Social Insurance Law.

Article 9

1- The Authority shall have an independent annual budget, issued in accordance with the arrangements for the issuance of the State's general budget.
2- The financial year of the Authority is the same as the financial year of the State.

Article 10

The resources of the Authority consist of the following:
1- What is allocated to it in the state’s general Budget.
2- The financial compensation it receives for the services and works it provides.
3- What the Council accepts in terms of gifts, donations, grants, and bequests.
4- Any other resource approved by the Council that does not violate the regulations and instructions.
