Statute of the General Authority for Military Industries

Article 1

  • The following terms - wherever they appear in this regulation - shall have the meanings specified next to each, unless the context requires otherwise:

    • Authority: General Authority for Military Industries.

    • Regulation: Regulation of the Authority.

    • Council: Board of Directors of the Authority.

    • Governor: Governor of the Authority.

Article 2

The authority enjoys legal personality and financial and administrative independence, and it is linked to the President of the Council of Ministers. Its main headquarters is located in the city of Riyadh, and it has the right to establish branches or offices within the Kingdom as needed.

Previous Amendments
  • A- The Authority shall have a Board of Directors whose Chairman is appointed by a decision of the Council of Ministers, with membership including:

    • 1- Minister of Industry and Mineral Resources.
    • 2- Minister of Finance.
    • 3- Chairman of the Board of Directors of the Saudi Arabian Military Industries Company.
    • 4- Deputy Minister of Defense.
    • 5- Representatives from the Ministry of Defense.
    • 6- Representative from the Ministry of Interior.
    • 7- Representative from the Ministry of National Guard.
    • 8- Representative from the Ministry of Economy and Planning.
    • 9- Representative from the Presidency of State Security.
    • 10- (Three) specialists in the field of the Authority’s work, appointed by an order from the Prime Minister based on a proposal from the Chairman of the Board, with their membership lasting for (three) years, renewable once.
  • B- The rank of the representatives of the government agencies referred to in subparagraphs (5), (6), (7), (8), and (9) of paragraph (A) of this article shall not be less than the (Excellent) rank or its equivalent.

  • C- The Chairman of the Board shall select a Deputy from among the members specified in subparagraphs (1), (2), (3), and (4) of paragraph (A) of this article.

Article 5

  • The Council is responsible for overseeing the management of the Authority's affairs and conducting its matters, and it makes all necessary decisions to achieve its objectives within the limits provided by the Law. In particular, it has the following responsibilities:

    • 1- Approving the policies and strategies related to the military industries sector, and the plans and programs necessary for their implementation, and raising any matters that require completing procedures in this regard.

    • 2- Proposing draft laws related to the military industries sector and suggesting amendments to those currently in force.

    • 3- Approving the mechanisms for managing military procurement operations for military and security entities.

    • 4- Approving the regulation governing research and development in the military industries sector.

    • 5- Approving the controls and procedures related to the licenses covered by the Authority's competencies.

    • 6- Approving the controls for dealing with contracts, documents, and papers related to military procurement, ensuring their confidentiality.

    • 7- Approving the administrative and financial regulations - in agreement with the Ministry of Finance - and other internal regulations.

    • 8- Approving the organizational structure of the Authority according to the applicable legal procedures.

    • 9- Approving the establishment of branches or offices for the Authority.

    • 10- Determining the financial compensation for the services and works provided by the Authority that the Council deems to require financial compensation.

    • 11- Appointing an external auditor (or more) and an internal financial controller.

    • 12- Approving the draft annual budget of the Authority, its final account, and the annual report; in preparation for submitting them according to the applicable legal procedures.

    • 13- Adopting the auditor's report.

    • 14- Reviewing the periodic reports submitted regarding the progress of work in the Authority.

    • 15- Approving the conclusion of agreements, protocols, and contracts, according to the applicable legal procedures.

    • 16- Accepting gifts, donations, grants, bequests, and endowments, in accordance with the governing provisions. The Council may form permanent or temporary committees from its members or others, assigning them tasks it deems necessary, specifying in the formation decision of each committee its chairperson, members, and competencies, and allowing them to seek assistance from whom they deem necessary to perform the assigned tasks.

  • The Council may delegate some of its competencies to its chairperson or to any of its members or to the staff of the Authority as it sees fit.

Article 6

1 - The Council shall meet once every three months, or whenever necessary as determined by the Chairman of the Council, or if requested by at least one-third of its members. The invitation to the meeting shall be sent by the Chairman of the Council in writing at least seven days prior to the meeting date, and the invitation shall include the agenda.
2 - For the meeting of the Council to be valid, the majority of the members must be present, including the Chairman of the Council or his deputy. Decisions shall be made by a majority of the votes of those present, and in the event of a tie, the side that the Chairman of the meeting voted for shall prevail.
3 - The Council may invite those it deems necessary to attend its meetings, without them having the right to vote.

Article 7

  • The Authority shall have a Governor at the rank of Minister, appointed based on the proposal of the President of the Council, and he shall be responsible for managing the affairs of the Authority. His responsibilities are concentrated within the limits of the organization and what the Council decides, and he shall undertake the following competencies:

    • 1- Proposing policies and strategies related to the Authority's activities, and the plans and programs necessary for their implementation, and submitting them to the Council.

    • 2- Supervising the workflow in the Authority through the approved regulations, plans, and programs.

    • 3- Supervising the preparation of the administrative and financial regulations that govern the Authority, and other internal regulations; in preparation for submitting them to the Council.

    • 4- Proposing the organizational structure of the Authority and submitting it to the Council. 

    • 5- Supervising the preparation of the Authority's annual report and draft budget and final accounts; in preparation for presenting them to the Council.

    • 6- Supervising the preparation of reports related to the implementation of the Authority's plans and programs, and presenting them to the Council.

    • 7- Signing agreements and protocols after the Council's approval, and in accordance with the applicable legal procedures.

    • 8- Representing the Authority before the judiciary, and before government entities, institutions, and other relevant bodies, as well as other entities inside and outside the Kingdom, and he may delegate others to do so.

    • 9- Disbursing from the Authority's budget, and taking all financial procedures in accordance with the approved laws and regulations, within the limits of the powers delegated to him by the Council.

    • 10- Contracting for the execution of works and services, etc., in accordance with the laws and powers delegated to him by the Council.

    • 11- Issuing the necessary decisions to implement the provisions contained in the organization and the regulations issued thereunder, according to the powers granted to him. 

    • 12- Appointing the Authority's personnel in accordance with the regulations governing that, and supervising them.

    • 13- Approving scholarships and training for the Authority's personnel, in accordance with the regulations governing that.

    • 14- Any other competencies assigned to him by the Council. 

  • The Governor may delegate some of his competencies to whomever he sees fit among the Authority's personnel.

Article 8

1. The administrative regulations of the Authority shall specify all provisions governing its administrative affairs, including the provisions regulating the status of its personnel.
2. Except for the provision stated in paragraph (3) of Article (5) of the organization, the financial regulations of the Authority shall specify all provisions governing its financial affairs, including the provisions related to the mechanisms for executing its competitions and securing its purchases.

Article 9

1- The Authority collaborates with military and security entities when the Ministry of Finance discusses the budgets of those entities related to military procurements.
2- The Authority collaborates with government entities - including military and security entities - when the Ministry of Finance discusses the budgets of those entities related to funding research and development in the military industries sector.

Article 10

The military factories licensed by the authority shall be subject to the supervision of the Higher Authority for Industrial Security concerning the provision of security, safety, and fire protection requirements.
