Statute of the Saudi Energy Efficiency Center

Article 1

Previous Amendments

The following words and phrases - wherever they appear in this Statute - shall have the meanings indicated opposite each of them, unless the context indicates otherwise:
1- Center: Saudi Energy Efficiency Center.
2- Minister: Minister of Energy.
3- Council: Board of Directors of the Center.
4- President: Chairman of the Council.
5- Statute: Statute of the Center.
6- Director: Director General of the Center.
7- Person: Natural personality or public or private legal personality.
8- Energy Efficiency: Increasing the efficiency of energy production and consumption.
9- Energy Production: Use of energy in electricity generation and water desalination, including the transmission and distribution of electricity.
10- Energy Consumption: Use of energy in consumer sectors, including the use of feedstock in the industrial sector.
11- Energy Efficiency Service Providers: Persons licensed to practice energy efficiency service activities.

Article 2

The center enjoys legal personality, as well as financial and administrative independence, and is organizationally linked to the Minister. The main headquarters of the center is located in the city of Riyadh, and it has the authority to establish branches or offices within the Kingdom as needed.

Article 3

The center aims to rationalize the production and consumption of energy in a manner that ensures its efficiency is enhanced in the Kingdom, and to unify efforts in this field, whether among governmental or non-governmental entities.

Article 4

Taking into account the competencies established by law for the relevant authorities, the center shall undertake the following competencies and powers in order to achieve its objectives:
1- Develop national programs for energy efficiency and determine the indicators, objectives, plans, and policies related to that, follow up on the implementation of the necessary steps to achieve them with the relevant authorities, and verify their results and effectiveness, preparing periodic reports in this regard.
2- Propose projects for regulations related to energy efficiency - in coordination with the relevant authorities - and submit them to complete the necessary legal procedures.
3- Issue technical regulations, standards, and procedures that achieve energy efficiency, including standards for buildings and district cooling. 
4- Contribute with the relevant authorities in setting the standard specifications for devices, equipment, lighting systems, transportation means, and others, to achieve energy efficiency.
5- Establish appropriate foundations that assist in managing the energy efficiency card program, in coordination with the relevant authorities.
6- Establish the necessary rules for licensing and qualifying energy efficiency service providers; in preparation for completing the necessary legal requirements.
7- Contribute with the relevant authorities in establishing the necessary rules related to energy efficiency testing.
8- Provide technical and consulting services in the field of energy auditing, measurement, and verification.
9- Prepare the national guide for measurement and verification for energy efficiency services, publish it, and follow up on its updates.
10- Monitor compliance with energy efficiency standards and take all measures to achieve that.
11- Prepare periodic reports on energy efficiency in the Kingdom, in cooperation with the relevant authorities.
12- Obtain information and documents related to energy efficiency from any energy user, and develop the necessary databases to achieve the center's missions in cooperation with the relevant authorities.
13- Prepare periodic reports on energy production and consumption in the Kingdom, in cooperation with the relevant entities. 
14- Encourage conducting studies and research in areas related to energy efficiency, and support it. 
15- Encourage investment and financing in areas aimed at achieving energy efficiency.
16- Encourage the establishment of training programs in areas related to energy efficiency; to qualify and enhance the performance level of administrative and technical staff. 
17- Approve professional training programs and the entities granting certificates specialized in training in areas related to energy efficiency.
18- Coordinate and follow up on the preparation of curricula and activities for energy efficiency in general, higher, and vocational education in cooperation with the relevant educational institutions.
19- Organize exhibitions, conferences, programs, and seminars, and cooperate with relevant authorities to raise awareness in the field of energy efficiency.
20- Engage in international communication and cooperation and represent the Kingdom externally in areas related to energy efficiency to benefit from the experiences of other countries.
21- Conclude memoranda of understanding and agreements with international and regional bodies - according to the established legal procedures - as well as conclude memoranda of understanding and agreements with local governmental bodies and non-governmental entities from companies and institutions, to benefit from the best technologies, systems, research, and studies in areas related to energy efficiency.
22- Agree on arbitration to resolve any dispute that may arise between the center and any other party after completing the necessary legal requirements.
23- Establish rules that ensure the confidentiality of any information obtained by the center from any person, including prohibiting the disclosure of any confidential information obtained by any person while performing their duties as a member of the council or as a staff member of the center or as a consultant to it.

Article 5

Article 6

The Council is the governing authority responsible for managing the affairs of the center and conducting its matters. It makes all necessary decisions to achieve its purposes within the limits set by the provisions of the regulation. In particular, it has the following responsibilities:
1- Establishing general strategies, outlining basic directions, determining the main objectives of the center, approving the plans, programs, and policies necessary to achieve them, and supervising their implementation and follow-up.
2- Approving the organizational structure of the center.
3- Approving the financial, administrative, and technical regulations that enable the center to achieve its objectives. 
4- Approving the financial compensation that the center receives for the work and services it provides.
5- Approving the draft budget of the center, its final account, the auditor's report, and the annual report; in preparation for submitting them according to the applicable legal procedures.
6- Accepting donations, gifts, grants, bequests, endowments, and assistance provided to the center.
7- Appointing an external auditor (or more) from individuals with natural or legal status licensed to operate in the Kingdom, appointing an internal financial auditor, and determining their fees.
8- Forming an executive committee for the Council from its members and defining its competencies.
9- Forming working groups and committees from members of the Council or others, and defining their competencies.
The Council determines how to organize the center's tasks and activities and distribute them among its departments and other sections. The Council may delegate any of its powers or some of them to any of the officials in the center as deemed necessary for the workflow.

Article 7

1- The Council meetings are held at the headquarters of the center, and may, when necessary, be held at another location within the Kingdom. 
2- The Council meets at least four (4) times a year based on an invitation from its President or his delegate, and meets whenever the interest requires it. The invitation must be accompanied by an agenda for the meeting, and the President must call the Council to meet whenever at least four of its members request it. 
3- The validity of the meeting requires the presence of the majority of the members, including the President of the meeting, and decisions are made by a majority of the votes of those present. In the event of a tie, the side that the President of the meeting voted with prevails. A member may not abstain from voting or delegate another member to vote on their behalf in their absence. 
4- The Council may issue its decisions by circulation by presenting them to all members separately unless one of the members requests in writing to hold a meeting for deliberation on them. 
5- The deliberations and decisions of the Council are recorded in minutes signed by the President of the meeting and the attending members. The dissenting member has the right to record their objection and the reasons for the objection in the minutes of the Council meeting.
6- The Council may invite individuals whose information and expertise it deems beneficial to attend its sessions, without them having the right to vote.

Article 8

The center shall have a General Director appointed by a decision of the Council, which specifies his salary and other financial benefits. He shall be the executive responsible for managing the center, and his responsibilities shall be limited to what is stipulated in the regulations and what the Council decides. He shall exercise the following competencies and authorities: 
1- Preparing for the Council meetings. 
2- Proposing the organizational structure of the center and its financial, administrative, and technical regulations, and submitting them to the Council.
3- Supervising the preparation of the center's budget project, final accounts, and annual report, and submitting them to the Council.
4- Issuing orders for the center's expenditures in accordance with the approved annual budget and the center's regulations. 
5- Appointing the center's staff, supervising them, and terminating their services in accordance with the powers granted to him and what is specified in the center's regulations. 
6- Following up on the implementation of the center's regulations and the decisions issued by the Council. 
7- Providing periodic reports to the Council on the center's activities, achievements, and operations. 
8- Submitting recommendations to the Council regarding matters within his jurisdiction. 
9- Representing the center before the judiciary, and before government agencies, institutions, bodies, and other governmental and private entities inside and outside the Kingdom.
10- Seeking assistance and contracting with consulting offices, expert houses, and local and international experts and consultants.
11- Exercising the competencies assigned to him under the center's regulations and the Council's decisions.
     The director may delegate some of his competencies and authorities to other staff members of the center.

Article 9

The center shall have an independent annual budget.

Article 10

Previous Amendments
  • 1- The financial resources of the center consist of the following:

    • A- What is allocated to it in the state’s general budget.

    • B- Revenue from operations and services. 

    • C- Donations, gifts, grants, bequests, endowments, and assistance provided to it.

    • D- Any other financial resource approved by the Council.

  • 2- The center's funds are deposited in an account with the Saudi Central Bank, and expenditures from these funds are made according to its approved budget and financial and administrative regulations.
