Definitions:

The following words and phrases shall have the meanings indicated next to each, unless the context requires otherwise:

• 1- Controls: Controls for the rewards of the members of the boards of directors of the devices and the committees emanating from them.

• 2- The Device: Any device established by a decision of the Council of Ministers - or by a higher regulatory instrument - regardless of its nature or name (authority, public institution, center, program, national committee, public benefit device, or others), and shall enjoy financial and administrative independence. This does not include devices of a temporary nature.

• 3- The Regulation: The regulatory document that includes the provisions governing the work of the device and its competencies; regardless of its name (regulation, organizational arrangements, or others).

• 4- The Council: The board of directors of the device; regardless of its name (board of directors, supervisory committee, management authority, or others).

1- The maximum total amount of rewards that each member receives for their membership in the Council and its subcommittees shall be (350,000) three hundred fifty thousand Riyals annually; this is in accordance with the classification standards for the boards of directors of agencies, their weights, measurement mechanisms, classification mechanisms, and the financial rewards for their members and the members of the subcommittees, and their ceilings, as per the attached formula.

2- Without prejudice to the provisions of paragraph (1) of this item, the total amount received by a government employee annually, in return for their membership in the councils and the subcommittees thereof, shall not exceed (one million) Riyals for all their memberships in those councils and committees.

 A member of the Council and the committees derived from it - who is not a government employee - coming from outside the city of the meeting shall be granted the value of a round-trip airline ticket in the travel class entitled to holders of the fifteenth rank. As for the member whose membership is by virtue of their position, they shall be treated in this regard according to the applicable systems and job regulations.

A rewards committee shall be formed within the Council of Economic Affairs and Development; it shall be responsible for deciding on matters related to the application of the regulations, and it may form any committees and teams it deems necessary to assist it in performing its tasks. The committee shall establish its rules and procedures, taking into account what is included in paragraph (3) of item (Fifth) of the regulations.

1- The Chairman of the Council shall submit a proposal for the amount of rewards for the members of the Council and the committees emanating from it, based on a recommendation from the Council or any of its specialized committees, to the Committee - as stipulated in item (Fourth) of the regulations - taking into account the classification criteria for the boards of directors of the entities, their weights, measurement mechanisms, classification mechanisms, and the financial rewards for their members and the members of the committees emanating from them, and their ceilings, as stipulated in paragraph (1) of item (Second) of the regulations.

2- The Chairman of the Council - when submitting the rewards proposal in accordance with paragraph (1) of this item - must accompany it with a disclosure form determined by the Committee - as stipulated in item (Fourth) of the regulations - after being signed by a member of the Council.

3- The Committee - as stipulated in item (Fourth) of the regulations - shall decide on the proposals submitted in accordance with this item within (60) days from the date of their receipt.

 The rewards for the members of the Council and the committees derived from it shall be disbursed from the budget of the entity that established the Council. The Ministry of Finance shall establish a mechanism for the disbursement of these rewards to those entitled to them, taking into account what is stipulated in paragraph (2) of item (Second) of the regulations.

The Council of Economic and Development Affairs has the authority to amend the criteria for classifying the boards of directors of entities, their weights, measurement mechanisms, classification mechanisms, and the financial rewards for their members and the members of the committees derived from them, as well as the ceilings referred to in paragraph (1) of item (Second) of the regulations; provided that this does not violate the provisions contained in the regulations.

These regulations replace the regulations for the remuneration of members of the boards of directors of the agencies and the committees emanating from them, issued under item (First) of the Council of Ministers Resolution No. (385) dated 11/7/1442 AH, and annul any provisions that conflict with them.
