Statute of the Saudi Press Agency - 1433

Article 1

Previous Amendments

The following phrases and terms - wherever they appear in this regulation - shall have the meanings specified next to them, unless the context requires otherwise:
Ministry: Ministry of Media.
Minister: Minister of Media.
Agency: "Saudi Press Agency" (SPA).
Council: Board of Directors of the Agency.
President: President of the Agency.
Regulation: Regulation of the Agency.

Article 2

The agency enjoys independent legal personality and financial and administrative independence - as a public authority - and is organizationally linked to the Minister. Its main headquarters is in the city of Riyadh, and it may establish branches and offices inside and outside the Kingdom as needed.

Article 3

The agency aims to:
1- Cover events, issues, and various activities and follow them at the local, regional, and international levels, particularly those related to the Kingdom.
2- Contribute to enhancing media and journalistic professionalism in the Kingdom.
3- Keep pace with professional and technological developments and changes in its areas of specialization.

Article 4

The agency shall undertake its purposes - including but not limited to - the following tasks and responsibilities:
1- Providing news services and press materials that are collected and prepared from various sources inside and outside the Kingdom, and broadcasting and distributing them.
2- Exchanging information and professional and technical facilities with news agencies.
3- Preparing studies, research, specialized bulletins, opinion polls, and news services.
4- Publishing and distributing global news from its foreign offices or from agencies, broadcasts, and correspondents.
5- Documenting cooperation with regional and global agencies and strengthening ties with regional and global news agency federations.
6- Establishing companies and agencies that perform activities related to the nature of its work or contributing to their establishment, in accordance with the regulations, and in agreement with the Ministry of Finance.
7- Carrying out all media and news-related tasks and any other work connected or related to them.

Article 5

Previous Amendments

1- The agency shall have a Board of Directors formed as follows:
 A- The Minister of Culture and Information as the Chairman
B- The President of the Saudi Press Agency as a member and Vice Chairman
C- A representative from the Ministry of Foreign Affairs as a member
D- A representative from the Ministry of Culture and Information as a member
E- A representative from the Ministry of Finance as a member
F- Two members with expertise and opinion, appointed by a decision of the Council of Ministers based on a proposal from the Minister, with a membership term of three years, renewable for one additional term.
The rank of the representatives from government agencies must not be less than the (fourteenth) rank or its equivalent.
2- The remuneration of the members of the council shall be determined by a decision of the Council of Ministers.

Article 6

The Council is the highest authority in the agency, responsible for overseeing it and managing its affairs. It has the authority to take necessary decisions and procedures to achieve the purposes for which it was established in accordance with the provisions of this law and the regulations issued thereunder. Specifically, it has the following responsibilities:
1- Approving the general policies of the agency related to its activities, and the plans and programs necessary for their implementation.
2- Approving the draft organizational structure of the agency and submitting it to complete the legal procedures for its approval.
3- Issuing the administrative and financial regulations that govern the agency in agreement with the Ministry of Finance and the Ministry of Civil Service, as well as other internal regulations.
4- Approving the draft annual budget of the agency and submitting it in accordance with the legal procedures.
5- Approving the annual final account of the agency and submitting it in accordance with the legal procedures.
6- Appointing an external certified auditor and an internal financial controller.
7- Approving the annual report of the agency's activities and submitting it according to the legal procedures.
8- Approving the acceptance of donations, endowments, grants, and bequests offered to the agency.
9- Approving the conclusion of agreements and contracts, and authorizing the head of the agency to sign them.
10- Reviewing periodic reports submitted regarding the progress of work in the agency and its financial position.
11- Approving the establishment of companies and agencies by the agency that perform activities related to its nature of work or contribute to their establishment, in accordance with the regulations and in agreement with the Ministry of Finance.
12- Approving the establishment of branches, centers, and offices inside and outside the Kingdom.
13- Approving the purchase, sale, and investment of real estate.
14- Determining the financial compensation for the services provided by the agency.
The Council may delegate its chairman, vice-chairman, or a committee of its members some of its powers.

Article 7

1- The Council holds its meetings periodically every (three months), and the Chairman of the Council may call for a meeting whenever necessary or upon the request of at least (three) members.
2- A meeting of the Council is valid if attended by the majority of the members, including the Chairman of the Council or his deputy, and decisions are made by a majority of the votes of those present. In the event of a tie, the side that the Chairman of the meeting voted for shall prevail.
3- The Council may invite anyone it deems appropriate to attend its sessions to benefit from their expertise, without granting them the right to vote.

Article 8

The agency shall have a president whose rank is not less than (fifteenth), appointed -based on a proposal from the Minister- in accordance with the legal procedures.

Article 9

The President shall manage and conduct all affairs of the agency, its departments, and sections, in accordance with the powers stipulated in this regulation, the regulations issued thereunder, and the decisions of the Council. He shall specifically have the following responsibilities:
1- Proposing the general policies of the agency related to its activities, and the plans and programs necessary for their implementation, and submitting them to the Council.
2- Proposing the draft organizational structure of the agency and submitting it to the Council.
3- Representing the agency before the judiciary, government entities, and other bodies inside and outside the Kingdom, and he may delegate someone he sees fit for that purpose.
4- Implementing the decisions of the Council and exercising the powers and authorities delegated to him by the Council.
5- Proposing the administrative and financial regulations that govern the agency, along with other internal regulations, and submitting them to the Council.
6- Disbursing from the approved budget and taking all financial procedures in accordance with the approved systems and regulations.
7- Preparing reports on the implementation of the agency's plans, programs, and studies, and presenting them to the Council.
8- Proposing plans to develop professional, technical, and reporting performance.
9- Preparing the draft budget of the agency and the draft final account and presenting them to the Council.
10- Contracting for the execution of works, services, and others.
11- Utilizing the services of international news agencies and contracting with correspondents inside and outside the country to obtain local and international news, reports, and analyses.
12- Preparing the annual report on the agency's activities, the difficulties it faced, and the proposed solutions, and presenting it to the Council for consideration.
13- Signing agreements, protocols, and contracts after the Council's approval, in accordance with the regulations.
14- Organizing the agency's participation in conferences, events, festivals, and exhibitions at the local, regional, Arab, and international levels, in accordance with the regulations.
15- Approving the necessary plans and programs for training and scholarships both domestically and abroad, and following up on their implementation.
16- Appointing employees in the agency in accordance with the regulations and supervising them.
17- Contracting with experts according to the agency's needs.
The President may delegate some of his powers to whomever he sees fit among the agency's staff.

Article 10

Previous Amendments

1- The resources of the agency consist of the following:
 A- The allocations designated for it in the state’s general Budget.
B- The financial compensation it receives from the services it provides.
C- Any donations, contributions, endowments, aids, grants, and bequests it accepts.
D- Any other resource approved by the Council.
2- The agency's funds are deposited in an account opened for it at the Saudi Central Bank, and it may open accounts in banks licensed to operate in the Kingdom, and expenditures from these funds are made according to the agency's approved Budget.
