Statute of the General Panel of Culture

Article 1

Previous Amendments

The words and phrases listed below - wherever they appear in this regulation - shall have the meanings specified next to them, unless the context requires otherwise:
The Panel: The General Panel for Culture.
The Regulation: The Regulation of the Panel.
The Ministry: The Ministry of Culture.
The Council: The Board of Directors of the Panel.
The President: The President of the Council.
The Chief Executive Officer: The Chief Executive Officer of the Panel.

Article 2

1- The Authority enjoys legal personality and financial and administrative independence, and is organizationally linked to the President of the Council of Economic and Development Affairs.
2- The main headquarters of the Authority is located in Riyadh, and it may establish branches or offices as needed.

Article 3

1- The Authority aims to stimulate the cultural sector in the Kingdom, develop it, and elevate all its elements, components, and capabilities, contribute to nurturing cultural talents, and enhance cultural diversity and social cohesion.
2- The Ministry is responsible for overseeing the cultural sector in the Kingdom, coordinating with the Authority in a manner that does not compromise its objectives and missions, contributes to the advancement of cultural affairs, and achieves integration in roles between them, especially concerning the formulation of policies related to cultural activities.

Article 4

Without prejudice to the competencies of other authorities, the Authority shall have the following competencies and tasks in order to achieve its objectives:
1- Enhancing the cultural status of the Kingdom and building bridges of knowledge and human communication as a source of intellectual radiance and knowledge contribution, at both regional and international levels.
2- Highlighting the Saudi identity through culture, thought, and arts, and promoting values that deepen national belonging.
3- Showcasing the status of the Kingdom and the civilizational advancement it is witnessing in various aspects.
4- Contributing to the development of thought, culture, arts, and creativity, and preparing an environment that encourages this.
5- Paying attention to the culture of various segments of society and working to develop it.
6- Proposing projects for laws and regulations required by the nature of its work and amending those in effect, and submitting them to complete the legal procedures.
7- Participating in conferences, forums, festivals, and exhibitions, whether domestic or international, in accordance with legal procedures.
8- Participating in regional and international unions, organizations, and bodies, and similar entities related to its work, in accordance with legal procedures.

Article 5

1- The Authority shall have a Board of Directors composed of a President appointed by a royal decree, and the membership shall include:
 A- The Chief Executive Officer.
B- No less than seven individuals who are interested and specialized with experience in fields related to the Authority's work.
2- An order shall be issued by the President of the Council of Ministers to appoint the members referred to in paragraph (1/B) of this article, based on a proposal from the President of the Council of Economic and Development Affairs, and their term of membership shall be three years, renewable for one additional term.

Article 6

The Council is the authority that dominates the management of the affairs of the authority and conducts its matters, and it makes all necessary decisions to achieve its objectives within the provisions of the law. It has, in particular, the following:
1- Approving the policies related to the authority's activities - after coordinating with the Ministry - and the plans and programs necessary for their implementation, and raising what is necessary in preparation for completing the legal procedures regarding them.
2- Proposing draft laws related to the authority's work and amending those in effect, and submitting them in preparation for completing the legal procedures.
3- Approving the organizational structure and organizational guide of the authority.
4- Approving the financial and administrative regulations of the authority, including regulations related to the affairs of its employees, securing its purchases, and implementing its projects.
5- Approving the establishment of branches or offices for the authority.
6- Determining the financial compensation for the services and works provided by the authority.
7- Approving the regulations related to the activities included within the authority's scope of work and what is related to it, including the procedures for issuing licenses, permits, approvals, and authorizations, and determining the financial compensation for that.
8- Approving the investment of the authority's funds in a manner that achieves its objectives, in accordance with the applicable laws and regulations.
9- Appointing an external certified auditor and an internal financial controller.
10- Approving the draft annual budget of the authority, its final account, the auditor's report, and the annual report; in preparation for submitting them according to the applicable legal procedures.
11- Reviewing the periodic reports submitted on the progress of work in the authority.
12- Approving the conclusion of agreements, protocols, and contracts according to the applicable legal procedures.
13- Accepting gifts, donations, grants, bequests, and endowments, in accordance with the regulations governing that.
The Council may delegate some of its powers to its president or to any of its members or employees of the authority.
The Council may form permanent or temporary committees - from among its members or others - to which it assigns the tasks it deems appropriate, and the decision to form each committee specifies its president, members, and powers, and it may seek assistance from whomever it deems necessary to perform the tasks assigned to it.

Article 7

1- The meetings of the Council are held at the headquarters of the Authority, and they may be held at another location within the Kingdom or outside it when necessary.
2- The Council meets (at least once) every three months, or whenever deemed necessary by the President, or if requested by at least one-third of its members. The President may delegate any of the representatives of the government entities that are members of the Council to preside over the meetings in his absence. The invitation to the meeting is to be sent by the President in writing at least seven days prior to the meeting date, and the invitation must be accompanied by the agenda of the meeting. For the meeting to be valid, a majority of the members must be present, including the President or his delegate. Decisions are made by a majority of the votes of those present, and in the event of a tie, the side that the President of the meeting voted with prevails. The dissenting member has the right to record his objection and the reasons for the objection in the minutes of the Council meeting.
3- The deliberations and decisions of the Council are documented in minutes signed by the President of the meeting and the attending members, and the Authority shall communicate these decisions to the relevant parties directly and in an appropriate manner.
4- A member may not abstain from voting or delegate another member to vote on his behalf in his absence.
5- A member may not disclose any information regarding the secrets of the Authority that he has come to know.
6- The Council may invite individuals whose assistance it deems necessary to attend its sessions without granting them the right to vote.

Article 8

The Authority shall have an Executive President who is appointed and dismissed from his position by a Decision of the Council, which specifies his salary and other financial benefits. He is the executive responsible for managing the Authority, and his responsibilities are concentrated within the limits of the organization and what the Council decides. He shall exercise the following competencies:
1- Proposing policies related to the Authority's activities and the plans and programs necessary for their implementation, and submitting them to the Council.
2- Proposing the structure and organizational guide for the Authority, and submitting them to the Council.
3- Proposing the Authority's financial, administrative, and functional regulations, as well as regulations related to the activities covered by its scope of work, and submitting them to the Council.
4- Supervising the preparation of the Authority's annual budget draft, its final account, and the annual report; in preparation for presenting them to the Council.
5- Appointing employees in the Authority and supervising the workflow in accordance with the approved regulations, plans, and programs.
6- Issuing orders for the Authority's expenditures based on the approved annual budget.
7- Following up on the implementation of the Decisions issued by the Council.
8- Providing periodic reports to the Council on the Authority's work, achievements, and activities.
9- Submitting proposals to the Council regarding matters within the Authority's competencies.
10- Signing agreements, protocols, and contracts after obtaining the Council's approval and in accordance with the applicable legal procedures.
11- Contracting with experts and consultants within the scope of the Authority's purposes, and in accordance with what the regulations specify.
12- Representing the Authority before judicial authorities and delegating others to do so, as well as before government entities, institutions, and other relevant bodies, both inside and outside the Kingdom.
13- Issuing the necessary Decisions to implement the provisions of the organization and the regulations issued thereunder, according to the powers granted to him.
14- Any other competencies assigned to him by the Council.
The Executive President may delegate some of his competencies to whomever he sees fit among the Authority's staff.

Article 9

The Labor Law and the Social Insurance Law apply to all employees of the Authority.

Article 10

1- The Authority shall have an independent annual budget, issued in accordance with the arrangements for the issuance of the State's general budget.
2- The financial year of the Authority is the same as the financial year of the State.
