Procurement Rules of the Entrustment and Liquidation Center

1. Definitions

Center: Entrustment and Liquidation Center
Chief Executive Officer: Chief Executive Officer of the Entrustment and Liquidation Center
Rules: Rules for the Procurement Operations of the Entrustment and Liquidation Center
Operations of the Entrustment and Liquidation Center: All types of operations specified in the Operations Rules of the Entrustment and Liquidation Center.
Registration and Classification for Service Providers: The rules and conditions specified for service providers, their terms, and categories.
Platform: The electronic platform for the center's service providers and procurement offerings.
Service Providers: Any individual or entity providing services related to liquidation or sale registered with the center.
Client: A natural person or legal entity benefiting from the center's services.

Instructions: The regulations, decisions, and contracts related to the center's operations and service providers.

Mission: Any work, service, act, assignment, management, consultation, report, or evaluation performed by the second party to achieve the purpose of the contract.
Related Parties: Relatives up to the fourth degree or parties to the legal case for the service to be provided or the client or any person who has an influence on the contracting process with the center.
Authorized Person: The person authorized according to the approved powers regulation of the Entrustment and Liquidation Center.

2. Objective

2.1 Statement of the assets and fundamental principles of the procurement process that must be followed by those concerned at the center when executing all procurement activities related to the center's operations with the service provider.
2.2 Organizing and controlling the procedures for competitions and procurements carried out by the center, and preventing the influence of personal interests in them.
2.3 Promoting integrity, competition, and declaration, and providing fair treatment to service providers; achieving the principle of equal opportunities based on the quality of work.
2.4 Achieving transparency in all stages of the competition and procurement procedures implemented by the center.
2.5 Purchasing at fair and reasonable competitive prices.

3. Scope

3.1 All procedures related to contracting and awarding concerning the operations of the center only, as stipulated in the Operations Rules of the Entrustment and Liquidation Center, are subject to the provisions of these rules.
3.2 Purchases related to the center for securing premises or supplying furniture and similar items are not included within the scope of these rules.

4. Fundamental Principles

4.1 The Center, when executing its competitions and providing its purchases related to its operations, deals with individuals, institutions, and companies licensed to perform the tasks (service providers) that fall within their scope of work according to the operational rules of the Entrustment and Liquidation Center and based on the registration and classification of the approved service providers.
4.2 All individuals, institutions, and companies (service providers) wishing to deal with the Center, who meet the conditions that qualify them for this engagement, are given equal opportunities and are treated equally.
4.3 The Center's operations and purchases related to the processes are provided through competition, direct purchase, or electronic commissioning.
4.4 Offers may only be accepted and contracts concluded in accordance with the established conditions and specifications.
4.5 Purchases and execution of works and projects must be at fair prices that do not exceed the prevailing prices.

5. Conditions for Dealing with Bidders

5.1 Registration on the Center's platform must be within the list of service providers of the Center according to the operational rules of the Entrustment and Liquidation Center or the exceptions stated therein.
5.2 The registered service provider is obligated, when submitting offers, to have valid documents and licenses until the delivery and completion of the work.

6. Rules for Business Proposal Submission

6.1 Providing clear, complete, and unified information about the tasks required for competitors, enabling them to obtain this information within a specified time.
6.2 The center may set the conditions and technical specifications before announcing its projects through the relevant administration or its technical body or by commissioning a consultant for that purpose.
6.3 All competitions for the center's projects are announced through the platform or by any electronic means or by sending direct invitations based on the approval of the Chief Executive Officer.
6.4 The announcement of the competition must specify the deadline for submitting bids and inquiries and the opening of bids submitted by service providers for each category or for all, as determined by the center.
6.5 Tasks of a special nature for which there is no service provider available within the Kingdom are announced outside the Kingdom through global advertising websites or by any available means, in both Arabic and English. Coordination may be made with the Kingdom's embassies abroad in this regard, to publish the announcement if necessary, in addition to announcing it domestically according to what was included in the previous paragraph, and with the approval of the Chief Executive Officer, the project may be announced by sending direct invitations.

7. Submission of Offers

7.1 Offers shall be submitted via the platform, by email, or in sealed and closed envelopes at the specified time and place for their acceptance, and no offer shall be accepted unless the envelope is closed and sealed unless the offers are submitted electronically.
7.2 Offers that are submitted or received after the specified deadline for submission shall not be accepted.

8. Regulations for Submitting Bids

9. Operations Committee of the Entrustment and Liquidation Center

9.1 A committee shall be formed by a decision of the Chief Executive Officer or his delegate to open and examine the bids, consisting of three members including its chairperson, with one member from the financial sector and a legal advisor.
9.2 The formation shall include an alternate member to complete the quorum in case one of the members is absent.
9.3 The committee shall open the bids and provide its recommendations for awarding the contract to the best bids in accordance with the provisions of these rules, and it may seek assistance in providing its recommendations from reports by specialized technicians.
9.4 The committee shall be reconstituted every three years or as needed.
9.5 It is not permissible to combine the presidency of the Operations Committee of the Entrustment and Liquidation Center with the authority to approve the award.
9.6 The committee shall make its recommendations in the presence of all its members, and attendance may be remote.
9.7 The recommendations shall be recorded in minutes, and any dissenting opinion, if present, along with the justification for both opinions shall be clarified. This shall be presented to the Chief Executive Officer or his delegate to decide on the award in accordance with the provisions of the rules.
9.8 The committee may exclude any bids that do not comply with the conditions and specifications.

10. Regulation of Opening Offers

10.1 The bids shall be opened in the presence of all Committee members at the specified time or via remote attendance, and shall be announced to the awarded party.
10.2 The bids shall be opened at the specified hour and day, with no bid accepted after the specified time and date.
10.3 The opening of bids shall not exceed the day following the last date for submitting bids. The Committee must complete the opening of all bids in the same hearing.
10.4 Without prejudice to the provisions of the rules, the acceptance of bids and the opening of bids may be extended based on the approval of the Chief Executive.
