Regulatory Arrangements for the Royal Commission for Riyadh City

First:

  • The following words and phrases shall have the meanings indicated next to each, unless the context requires otherwise:

    • 1- The Authority: Royal Commission for Riyadh City.

    • 2- Organizational Arrangements: The organizational arrangements of the Authority.

    • 3- The Council: The Board of Directors of the Authority.

    • 4- The President: The President of the Council.

    • 5- The Chief Executive Officer: The Chief Executive Officer of the Authority.

    • 6- The Geographical Scope: Defined by the boundaries of development protection for the city of Riyadh, and any locations outside these boundaries as determined by the Council that are related to the Authority's objectives, competencies, and tasks.

Secondly:

  • The authority enjoys public legal personality and financial and administrative independence, and is organizationally linked to the Prime Minister. Its headquarters is located in Riyadh, and it has the authority to establish offices as needed.

Third:

  • The authority aims to elevate all works, services, and projects located within the geographical scope from organizational, supervisory, administrative, and operational aspects, in a manner that aligns with the civilizational status of the city of Riyadh, and facilitates the services provided to its residents and visitors.

Fourth:

  • The Authority is the supreme governing body overseeing the works, services, and projects within the geographical scope, and it has the authority to take all necessary actions to achieve its objectives, specifically including the following:

    • 1- Formulating general policies for the development and growth of the geographical scope.

    • 2- Establishing the vision and strategic directions for the geographical scope.

    • 3- Preparing comprehensive strategic plans, studies, and schemes for the geographical scope, along with their executive programs, approving them, monitoring their implementation, and updating them as necessary.

    • 4- Directly supervising the planning, design, and implementation of existing programs and projects within the geographical scope - prior to the establishment of the Authority and the commencement of its functions and responsibilities - along with related operational and maintenance activities. The Authority has the authority to direct the suspension of those programs and projects or to make amendments to them.

    • 5- Reviewing the plans, programs, and projects related to the Authority's work that are prepared by ministries and other government agencies, and approving them; ensuring balanced development within the geographical scope.

    • 6- Determining what is to be transferred to the Authority - wholly or partially - from the responsibilities and tasks of the relevant ministries and government agencies related to the Authority's competencies and tasks, and the mechanism for this transfer, ensuring that it includes - as deemed appropriate by the Authority - the assets, properties, financial allocations, human resources, and similar items designated for those ministries and government agencies.

    • 7- Developing strategies and business models for partnerships with the private and non-profit sectors, along with necessary supply plans in this regard, and establishing any financial compensation related to them, and modifying existing ones.

    • 8- Establishing rules, regulations, and standards for planning the geographical scope, including those related to building codes, urban codes, building designs, roads, commercial facilities, and land uses, to achieve the highest levels of development and growth.

    • 9- Reviewing the plans, studies, schemes, and executive programs prepared by government agencies operating within the geographical scope; and taking necessary actions regarding them.

    • 10- Proposing regulations, rules, and standards related to the Authority's competencies and tasks, and suggesting amendments to those currently in effect, which must be issued by a decision from the Council, and then completing the necessary legal procedures regarding them, without affecting the implementation of those regulations, rules, and standards.

    • 11- Monitoring the planning of infrastructure projects within the geographical scope in coordination with the relevant agencies.

    • 12- Prioritizing the implementation of works, services, projects, and programs within the geographical scope, including those executed by the entities operating therein, and monitoring them.

    • 13- Identifying the real estate that the Authority deems necessary for expropriation to develop the geographical scope, in coordination with the Riyadh Municipality and relevant entities, and completing the necessary legal procedures in this regard.

    • 14- Supervising the rehabilitation and improvement of existing urban neighborhoods, addressing the situation of informal areas, and developing and enhancing them socially, economically, security-wise, and environmentally.

    • 15- Preparing building regulations and land use guidelines that contribute to the implementation of development plans for the city of Riyadh and its growth, and approving them.

    • 16- Reviewing land subdivision plans within the geographical scope and approving them.

    • 17- Establishing and managing a database and urban information systems, serving as a unified platform and a primary reference for the information relied upon by the relevant agencies in developing the geographical scope.

    • 18- Coordinating and organizing efforts among government agencies within the geographical scope, according to the approved plans and programs.

    • 19- Coordinating with all ministries and other government agencies, ensuring the execution of the tasks and responsibilities assigned to the Authority and achieving its objectives.

    • 20- Establishing the necessary programs, mechanisms, and procedures, along with incentives for private sector participation in achieving development goals and implementing projects and services within the geographical scope, and supervising them.

    • 21- Establishing companies or participating in their establishment or entering into them, in accordance with legal procedures.

    • 22- Representing the Kingdom in local, regional, and international bodies and organizations related to its work, in accordance with legal procedures.

    • 23- Collaborating with research centers, institutions, and specialized consulting firms at both local and international levels; contributing to achieving the objectives for which the Authority was established.

  • To achieve its tasks and competencies, the Authority may seek assistance from necessary government agencies and others, including consulting firms and specialized personnel, both within and outside the Kingdom.

Fifth:

  • 1- All ministries and other governmental agencies that carry out activities or provide services within the geographical scope are obligated to implement the decisions and instructions issued by the Authority, in accordance with what it deems necessary to achieve its objectives in light of the competencies and tasks assigned to it under these arrangements.

  • 2- The Authority may undertake the activities referred to in paragraph (1) of this item itself, and in this case, the ministries and other governmental agencies must execute what the Authority requests from them in terms of tasks and the like, unless the Authority deems it appropriate to delegate those activities to others.

Sixth:

  • 1- The Authority may request any information, data, or reports - from ministries and other government agencies - that are required by the nature of its work, services, and projects; and take whatever actions it deems necessary in light of the Authority's objectives and submit what is required in this regard.

  • 2- The provision of information, data, and reports to the Authority shall be done electronically - whenever possible - in accordance with the applicable regulations and instructions.

Seventh:

Previous Amendments
  • The authority shall have a Board of Directors, whose chairman is appointed by a decision of the Council of Ministers, and its members are appointed by a decree from the Prime Minister.

Eighth:

  • The Council is the supreme authority over the affairs of the Authority and its management, and it has, within the limits of these arrangements, the right to take any decisions and procedures it deems appropriate to achieve its objectives, specifically the following:

    • 1- Approving the general policies for the development of the geographical scope.

    • 2- Approving comprehensive strategic plans, studies, and schemes, as well as the executive programs related to the Authority's competencies and missions.

    • 3- Approving the financial, administrative, and technical regulations of the Authority.

    • 4- Endorsing what is transferred to the Authority - wholly or partially - from the competencies and tasks of the ministries and other relevant government agencies related to the Authority's competencies and missions, the mechanism for that, and determining what is transferred of the assets, properties, financial allocations, and human resources designated for those ministries and other government agencies.

    • 5- Approving the rules, controls, and standards for planning the geographical scope, including the building code, urban code, design of buildings, roads, commercial facilities, and land uses.

    • 6- Approving the establishment of companies or participating in their establishment or entering into them to implement the projects specified by the Authority, in accordance with the relevant regulatory procedures.

    • 7- Issuing licenses and permits related to the works and services within the Authority's competencies.

    • 8- Approving a financial fee for the works and services provided by the Authority, such as licenses and permits.

    • 9- Approving land subdivision plans.

    • 10- Approving the conclusion of agreements and contracts, according to the organized procedures for that, including financing contracts for projects within the scope of the Authority's competencies, and it may provide the amounts collected from the financial fee mentioned in paragraph (8) of this item as a guarantee for those contracts, according to the procedures and mechanisms agreed upon in this regard with the Ministry of Finance.

    • 11- Approving the organizational structure of the Authority.

    • 12- Approving the draft budget of the Authority, its final account, the auditor's report, and the annual report, in preparation for submitting them according to the applicable regulatory procedures.

    • 13- Approving the acceptance of donations, gifts, endowments, wills, and grants, in accordance with the provisions regulating that.

    • 14- Appointing an external certified auditor (or more) and an internal financial controller.

    • 15- Approving the establishment of offices for the Authority.

    • 16- Delegating any of the Authority's competencies to whom it sees fit from the government entities.

    • 17- Reviewing the periodic reports submitted by the CEO regarding the progress of the Authority's work and taking any actions it deems appropriate.

    • 18- Identifying the areas outside the development protection boundaries of the city of Riyadh related to the Authority's objectives, competencies, and missions, and arranging the priorities for implementing works, services, projects, and programs therein.

    • 19- Suspending the issuance of building permits for a limited period in the areas subject to development within the geographical scope; until the controls and regulations for development are prepared.

  • The Council may form permanent or temporary committees from its members, Authority staff, or others, assigning them the tasks and powers it deems important, and the decision to form each committee specifies its chairperson, members, and competencies, and it may seek assistance from whom it sees fit to perform the assigned tasks.

  • The Council may also delegate some of its competencies to the President or to any of its members or Authority staff whom it sees fit.

Ninth:

  • 1- The Council meetings are held at the headquarters of the Authority, and may be held elsewhere by a decision of the President.

  • 2- The Council holds its meetings periodically four times a year, and the President may call for a meeting whenever necessary, or if requested by at least three of its members. The President may delegate any member of the Council to preside over the meetings in case of his absence. The invitation to the meeting is sent by the Executive Director - in writing - with the approval of the President, at least seven days prior to the meeting, and the invitation must include the agenda.

  • 3- For the meeting of the Council to be valid, the presence of the majority of its members, including the President or his delegate, is required. Decisions are made by a majority of the votes of those present, and in the event of a tie, the side that the President of the meeting voted for prevails.

  • 4- The deliberations and decisions of the Council are recorded in minutes signed by the President of the meeting and the attending members.

  • 5- The Council may issue a decision by circulation, in which case the approval of all Council members on the decision is required, and this decision is presented to the Council at the first subsequent meeting to be recorded in the minutes of the meeting.

  • 6- A member may not abstain from voting or delegate another to vote on his behalf in his absence, and a member who objects to any decision may record his objection with justification in the minutes of the meeting.

  • 7- The Council may invite some officials and experts to attend its meetings to provide any information and clarifications they have, without having the right to vote.

  • 8- The Council communicates its decisions to the relevant authorities in the manner it deems appropriate.

Ninth (bis):

Previous Amendments
  • The Council shall appoint by its decision a Secretary-General who will undertake the duties of the Council's secretariat and any other tasks assigned to him, and his salary and other financial benefits shall be specified in his appointment decision.
