Statute of Saudi Post

Article 1

Previous Amendments
  • The phrases and terms mentioned below - wherever they appear in this regulation - shall have the meanings specified next to them, unless the context requires otherwise:

    • The Kingdom: The Kingdom of Saudi Arabia.

    • The Institution: Saudi Post.

    • The Minister: The Minister of Post, Telegraph, and Telephone.

    • The Council: The Board of Directors of the Institution.

    • The President: The President of the Institution.

    • Member of the Council: A member of the Board of Directors of the Institution.

    • The Law: The Postal Law.

    • The Regulation: The Regulation of Saudi Post.

Article 2

1. Under this Statute, a public corporation named Saudi Post shall be established and shall have a legal personality and financial independence. It shall be headquartered in the city of Riyadh and it may establish branches and offices to carry out its duties.
2. Saudi Post shall operate on commercial basis and have the powers necessary to carry out its duties pursuant to its internal, financial, and administrative regulations provided for in this Statute and in a manner that enables its privatization in the future.
3. Saudi Post shall adopt modern means for receiving, collecting, processing, transporting, and distributing mail to ensure its delivery within a reasonable time in accordance with recognized international standards.

Article 3

Previous Amendments
  • The institution shall carry out its tasks and responsibilities in accordance with the Law and the provisions contained in its organization and regulations,  and it has, in particular, the following:

    • 1- Providing postal services.

    • 2- Providing financial postal services.

    • 3- Providing any other services that fall within its jurisdiction.

    • 4- Attending meetings of regional and international organizations and federations concerned with postal affairs after coordinating with the Ministry of Post, Telegraph, and Telephone.

    • 5- Establishing subsidiaries, and participating in the establishment of companies that perform activities related to the nature of its work, or participating in them.

    • 6- Agreeing with others to perform postal services on its behalf under contracts concluded for this purpose, and it may seek the assistance of transport companies in carrying out its tasks related to the transfer of mail.

    • 7- Performing any other tasks that are consistent with the nature of its work.

Article 4

Saudi Post shall, in accordance with the Law, issue definitive and commemorative postage stamps and shall determine their categories and postage marks.

Article 5

Previous Amendments
  • The institution shall have a Board of Directors chaired by the Minister, with the membership of:

    • 1- The President of the institution, who shall serve as the Vice Chairman of the Board.

    • 2- A representative from the Ministry of Post, Telegraph, and Telephone.

    • 3- A representative from the Ministry of Finance and National Economy.

    • 4- A representative from the Ministry of Commerce.

    • 5- A representative from the Saudi Central Bank.

    • It should be noted that their ranks shall not be less than the fourteenth.

    • 6- Three members from the private sector nominated by the Minister, and their appointment shall be issued by a decision from the Council of Ministers.

Previous Amendments
  • The Council is the supreme authority of the institution, overseeing its management and affairs, and it has the broadest powers for this purpose,  particularly the following authorities:

    • 1- Determining the objectives and establishing the general policy that the institution follows to achieve its purposes, identifying the necessary programs for that, and supervising their implementation.

    • 2- Approving the internal and administrative regulations of the institution.

    • 3- Issuing the financial regulations of the institution in coordination with the Ministry of Finance and National Economy.

    • 4- Approving the organizational structure of the institution and the staff regulations, and adopting the salary scale for the institution's employees.

    • 5- Approving the draft work plan of the institution and its operational plans within the framework of the state's general plan.

    • 6- Approving the draft budget of the institution and its final account, the auditor's report, and the annual report, in preparation for submitting it according to the applicable legal procedures.

    • 7- Approving the conclusion of contracts of all types that exceed the value limits set for the officials in the institution and delegating someone deemed appropriate to sign them.

    • 8- Establishing rules that ensure the operation of the institution on competitive commercial bases in pursuit of achieving the institution's reliance on its own resources.

    • 9- Proposing the financial compensation that the institution charges for any work or service it provides for approval according to the law.

    • 10- Establishing the conditions and procedures for opening postal savings accounts, issuing postal transfers, and other financial postal services permitted by the law, and determining the financial compensation for them according to the regulations.

    • 11- Approving the purchase, sale, and investment of real estate in a manner that achieves its purposes.

    • 12- Studying what the Minister refers to the institution regarding postal agreements to express an opinion on them.

    • 13- Forming committees and granting them the necessary powers to accomplish the tasks assigned to them.

    • 14- Delegating some powers to the President.

Article 7

1. Board meetings shall be held at the headquarters of Saudi Post, and may be held in any other venue in the Kingdom.
2. The Board shall convene upon a call by its Chairman at least once every three months, and may also convene if the need arises or if requested by at least five members. The call for a meeting shall include the meeting agenda.
A Board meeting shall be valid only if attended by the majority of its members, including the Chairman or his deputy. Decisions shall be passed by majority vote of attending members; in case of a tie, the chairman of the meeting shall have the casting vote.
3. The Board may invite non-members with relevant experience and knowledge to attend its meetings in a non-voting capacity.
4. A Board member may not vote by proxy. A member who objects to a Board decision may record in the minutes his objection and grounds therefor.
5. Board deliberations and decisions shall be recorded in minutes signed by the Chairman and Secretary of the Board.
6. The Board shall have a secretary appointed by the Chairman from among Saudi Post employees to prepare Board meetings and to record deliberations and decisions and communicate such decisions to the relevant agencies.
7. A Board member may not disclose any confidential information of Saudi Post he becomes privy to by virtue of his membership.

Article 8

Saudi Post shall have a president with the rank of Grade “Excellent” appointed pursuant to a royal order upon a nomination by the Minister. The President shall be the executive director of Saudi Post; his responsibilities shall be within the limits of this Statute and Board decisions, particularly the following:
1. Overseeing the preparations for Board meetings.
2. Following-up on the implementation of Board decisions.
3. Representing Saudi Post before other parties and the judiciary, and delegating such power, when necessary.
4. Appointing Saudi Post employees and supervising the performance of their duties in accordance with its regulations.
5. Proposing regulations and executive decisions related to the Saudi Post’s activities and submitting the same to the Board.
6. Overseeing the preparation of the Saudi Post’s budget, final accounts, and annual report, and submitting the same to the Board.
7. Issuing payment orders for Saudi Post, subject to the approved annual budget and relevant regulations.
8. Submitting periodic reports to the Board on the Saudi Post’s activities and achievements.
9. Proposing the Saudi Post’s plans and programs, and overseeing their implementation upon approval by the Board.
The President may delegate certain powers to any of the Saudi Post’s officials.

Article 9

Previous Amendments
  • The funds of the institution consist of:

    • 1- The revenues generated from its activities.

    • 2- The funds allocated to it by the state.

  • 3- The fixed and movable assets under the control of the Ministry of Post, Telegraph, and Telephone (General Directorate of Post), as well as all the funds utilized in the General Directorate of Post and its rights and obligations towards others at the time this regulation comes into effect.

Article 10

Previous Amendments
  • 1. Saudi Post shall have an independent budget.

  • 2. The Saudi Post’s fiscal year shall be the same as the State’s fiscal year. As an exception, the Saudi Post’s first fiscal year shall commence on the date this Statute enters into force.

  • 3. The Saudi Post’s funds shall be deposited in an independent account with the Saudi Central Bank. Disbursement from such account shall be made in accordance with the Saudi Post’s financial regulations.
