Implementing Regulation of the Law of Commercial Register

Article 1: Definitions

  • 1. The words and phrases mentioned in this regulation shall have the meanings specified in front of each in Article (First) of the Law of Commercial Register, issued by Royal Decree No. (M/83) dated 1446/03/19H.

  • 2. The following words and phrases, wherever mentioned in this regulation, shall have the meanings specified in front of each:

  • Registration: Recording the merchant's data and any amendments thereto in the Commercial Register and publishing them therein.

  • Unified Electronic Code: An electronic means issued by the Saudi Business Center through which the merchant's data is displayed to enable others to view it.

Article 2: The Registrar, His Jurisdiction, and Duties

  • 1. The Ministry is responsible for managing the Commercial Register and the registrar's duties and responsibilities.

  • 2. The registrar undertakes the duties and responsibilities stipulated in Article (Four) of the Law in addition to the following duties and responsibilities:

    • A. Working to raise the level of compliance with the laws and regulations that he supervises the implementation of.

    • B. Developing the Commercial Register and enhancing the quality of electronic services.

    • C. Analyzing data to understand the market situation and the status of establishments.

    • D. Enhancing technical connectivity between the Commercial Register and other government entities.

Article 3: Information Required to be Included in the Application for Registration in the Commercial Register

  • 1. The application for registration in the Commercial Register must include the data stipulated in Article (Six) of the Law and the following data:

    • A. The type of activity the merchant wishes to engage in.

    • B. Contact information for the merchant.

  • 2. The merchant must submit to the registrar within (ninety) days from the date of registration in the Commercial Register the bank account details, and any updates thereto.

Article 4: Provisions Related to the Registration of Activity in the Commercial Register

  • 1. The merchant must obtain a license to practice the activity registered in the commercial register for activities that require a license, within (ninety) days from the date of registering the activity in the commercial register. The licensing authority for the activity must notify the registrar immediately upon issuing the license or any update to the license data for registration in the commercial register.

  • 2. If (ninety) days pass from the date of registering the activity in the commercial register without issuing the license for activities that require it, or without the merchant providing proof of practicing an activity that does not require a license, the registrar must delete the merchant's activity registration from the commercial register. The registrar may extend this period on their own or at the request of the merchant, according to the procedures and duration of license issuance by the licensing authority.

  • 3. The authority responsible for issuing the municipal license must notify the registrar immediately upon issuing a municipal license for a new branch or any update to the municipal license data for registration in the commercial register.

Article 5: Registration of the Foreign Investor in the Commercial Register

The foreign investor, when requesting registration in the Commercial Register, must attach proof of registration with the Ministry of Investment or other competent authorities, in addition to the documents specified by the registrar with an approved Arabic translation.

Article 6: Registration of the Merchant in the Commercial Register

The merchant is registered in the commercial register once, even if his activities and branches are multiple.

Article 7: Correction or Completion of the Claim

The applicant must correct or complete the application for registration in the Commercial Register within fifteen (15) days from the date of notification, otherwise the application will be canceled, and he may submit a new application.

Article 8: Method of Submitting the Claim

1. Applications are submitted to the registrar through the commercial register's website using the designated form.

2. If it is not possible to submit applications through the commercial register's website, the registrar may allow submission through one of its offices.

Article 9: Update of the Register of Registration Data

1. The registrar shall update the registration data in the commercial register on his own initiative in the event of a decision issued by any competent authority or a final judgment, which results in a change or amendment in the registration data.

2. The registrar must notify the merchant within (five) days from the date of updating the data in accordance with the provisions of paragraph (1) of this article.

Article 10: Date of Annual Confirmation Entitlement

1. The merchant annually submits a confirmation to the registrar regarding the accuracy of the data recorded in the commercial register.

2. The due date for the annual confirmation is exactly one year from the date of registration in the commercial register.

3. The merchant may submit the annual confirmation to the registrar thirty (30) days before its due date.
