Glossary of Defined Terms Used in The Regulations and Rules of The Capital Market Authority.

The words and phrases contained in this list shall have the meanings specified for them unless the context of the text dictates otherwise:

Fund Management Fees

  • Compensation, expenses, and fees related to consulting services paid to the fund manager.

Issuer Procedures

  • The procedures taken by the issuer that result in increasing the number of its issued securities, reducing them, or amending their nominal value, including - but not limited to - increasing or decreasing the issuer's capital.

Technical Procedures

  • Mechanisms related to the listing of securities in the market and their trading for the execution of transactions including settlement, clearing, registration of ownership of the security, its transfer, and deposit, which include - but are not limited to - the following:

      1. Market procedures derived from market rules to regulate the procedures for trading securities, listing them, and post-trading procedures including registration, deposit, and settlement of securities.
      1. Procedures for classifying categories of listed securities and criteria for determining market sectors and making necessary adjustments according to the practices followed in this field.
      1. Procedures for continuously adjusting the reference price for securities listed through dual listing.
      1. Procedures for canceling orders submitted due to technical malfunctions in trading systems.
      1. Procedures for suspending trading of a specific security in emergency cases and lifting the suspension in accordance with the provisions of trading and membership rules.
      1. Granting and revoking market maker status to market members, determining the maximum number of market makers for a particular security, and setting requirements for all mechanisms related to market making.
      1. Procedures related to indices including creating a new index, approving the calculation mechanism of that index, modifying it, discontinuing its application, and criteria for including or excluding securities from an index calculation.
      1. Procedures related to the requirements for linking to all market systems or the deposit center or clearing center for all beneficiaries of any of their services, including information security requirements.

Total value of the fund's assets

  • For the purposes of the Investment Funds Regulations and the Real Estate Investment Funds Regulations, it means the value of the fund's assets, which is assessed according to the method of asset valuation mentioned in the fund's terms and conditions.

Endurance Test

  • For the purposes of the Investment Funds Regulations, it means preparing stress test models and methods for analyzing hypothetical risk scenarios faced by the fund, the fund manager's policy in dealing with them, and sensitivity analysis to measure the volatility level of the investment fund units' prices for the variables affecting them. This includes, but is not limited to, the fund manager conducting a hypothetical simulation of liquidity risks and the policy to be followed to address those risks, as well as the results of this hypothetical simulation; to evaluate the policy adopted by the manager in this regard and determine ways to develop it.

Administration

  • Managing securities belonging to another person in cases that require action according to discretion, or operating investment funds.

Investment Management and Fund Operation

  • Making investment decisions for investment funds and client portfolios in cases that require action according to discretion, and managing investment funds.

Investment Management

  • Making investment decisions for non-real estate investment funds and client portfolios in cases that require action according to discretion.

Termination of the Fund

  • Wherever mentioned in the Investment Funds Regulations, the Real Estate Investment Funds Regulations, and the Simplified Investment Funds Instructions, it means the date on which the fund ends according to the period or event specified in the fund's terms and conditions, including the phase of asset liquidation and the distribution of entitlements to unit holders.
