Regulatory Arrangements for the Jeddah Governorate Development Authority

  • Decision No. (223) dated 11/03/1445 AH

  • The Council of Ministers

  • After reviewing the correspondence received from the Royal Court No. 51065 dated 25/7/1444 AH, regarding the draft organizational arrangements for the Jeddah Governorate Development Authority.

  • After reviewing the aforementioned draft arrangements.

  • After reviewing the Royal Circular Order No. (55685) dated 30/11/1438 AH.

  • After reviewing the Council of Ministers decisions No. (533) dated 21/8/1441 AH, No. (145) dated 24/2/1444 AH, and No. (146) dated 24/2/1444 AH.

  • After reviewing memoranda No. (2080) dated 8/7/1444 AH, No. (2898) dated 21/9/1444 AH, No. (3359) dated 8/11/1444 AH, No. (280) dated 23/1/1445 AH, and No. (651) dated 26/2/1445 AH, prepared by the Bureau of Experts at the Council of Ministers.

  • After reviewing the recommendation prepared by the Council of Economic and Development Affairs No. (6-45/44/D) dated 19/11/1444 AH.

  • After reviewing the recommendation of the General Committee of the Council of Ministers No. (2299) dated 5/3/1445 AH.

  • It is decided as follows:

    • First: Approval of the organizational arrangements for the Jeddah Governorate Development Authority, in the attached form.

    • Second: Nothing in the ruling stipulated in paragraph (Fourth) of the organizational arrangements - referred to in paragraph (First) of this decision - regarding the formation of the Board of Directors of the Jeddah Governorate Development Authority, shall prejudice the continuation of the current Board of Directors formed by Council of Ministers decision No. (146) dated 24/2/1444 AH, until the expiration of the three-year term stipulated in the aforementioned paragraph (Fourth).

    • Third: All matters related to the investment of the funds of the Jeddah Governorate Development Authority shall be in agreement with His Excellency the Minister of Finance, including establishing appropriate mechanisms that enable the Authority to benefit from its revenues and the financial consideration for the services and works it provides - without prejudice to the provisions of the Royal Circular Order No. (55685) dated 30/11/1438 AH - to ensure the financial sustainability of the Authority.

    • Fourth: Formation of a committee from the Makkah Region Development Authority and the Jeddah Governorate Development Authority to coordinate the transfer of tasks and competencies related to the comprehensive planning and development of Jeddah Governorate, and its associated projects, from the Makkah Region Development Authority to the Jeddah Governorate Development Authority.

    • Fifth: The Royal Commission for Makkah City and Holy Sites, in coordination with the Makkah Region Development Authority, the Jeddah Governorate Development Authority, and the Historic Jeddah Project Management Program, shall study any overlaps between the competencies of these entities and report the findings within a period not exceeding ninety (90) days from the date of this decision.

    • Sixth: The first fiscal year of the Jeddah Governorate Development Authority shall commence from the effective date of the organizational arrangements

  • - referred to in paragraph (First) of this decision - and shall end at the end of the following fiscal year of the state, as an exception to the provision of paragraph (2) of item (Tenth) of the organizational arrangements.

    • Prime Minister

First

  • The words and phrases listed below shall have the meanings specified next to each, unless the context requires otherwise:

  • 1- The Authority: The Development Authority of Jeddah Governorate.

  • 2- The Arrangements: The organizational arrangements of the Authority.

  • 3- The Council: The Board of Directors of the Authority.

  • 4- The Geographical Scope: The geographical scope within which the Authority exercises its powers, represented by the administrative boundaries of Jeddah Governorate.

  • 5- The Chief Executive: The Chief Executive of the Authority.

Secondly

  • The authority enjoys legal personality and financial and administrative independence, and is organizationally linked to the Prime Minister, with its headquarters located in the Governorate of Jeddah.

Thirdly

  • The Authority - without prejudice to the competencies of other relevant agencies - aims to plan and comprehensively develop the geographical scope in the fields of urban, demographic, economic, developmental, social, cultural, environmental, transport, infrastructure, and digital infrastructure. It also aims to provide the needs for public services and facilities within the geographical scope. To achieve this, the Authority undertakes the following tasks and competencies:

  • 1- Formulating general policies for development and growth.

  • 2- Preparing comprehensive plans, studies, strategic frameworks, and executive programs, approving them, and updating them as necessary.

  • 3- Direct supervision over the planning of strategic programs and projects - entrusted to the Authority - designing and implementing them, along with related operational and maintenance activities.

  • 4- Reviewing development plans, programs, and projects - related to the Authority's work - prepared by government agencies, authorities, and public institutions, ensuring balanced development, and approving them.

  • 5- Following up on the planning of infrastructure projects in coordination with the relevant agencies.

  • 6- Prioritizing the implementation of programs and projects within the geographical scope in accordance with development plans, monitoring their implementation, taking necessary actions to ensure their execution, and applying indicators for improving and measuring urban performance based on the approved development plan objectives and coordinating with the implementing entities when preparing their budgets.

  • 7- Proposing the expropriation of certain real estate based on development needs, in coordination with the relevant agencies, in preparation for completing the legal procedures regarding it.

  • 8- Supervising the rehabilitation and improvement of existing urban neighborhoods, addressing and developing informal settlements, and enhancing them urbanistically, socially, economically, security-wise, and environmentally, and taking necessary actions to ensure this is implemented in coordination with the relevant entities.

  • 9- Preparing building regulations and land use that contribute to the implementation of development and growth plans, and approving them.

  • 10- Reviewing land subdivision plans and approving them.

  • 11- Establishing a database and urban information systems, managing them, to serve as a unified platform and a primary reference for the information relied upon by the relevant agencies in development and growth.

  • 12- Coordinating and organizing efforts among the relevant agencies in developing and growing the geographical scope, according to the studies and plans approved by the Authority.

  • 13- Establishing the necessary programs, foundations, procedures, and motivating means for private sector participation in achieving development goals and implementing projects and services, and supervising them.

  • 14- Encouraging and facilitating investment in the geographical scope by creating opportunities for partnership or direct investment through partnerships with investors from the public and private sectors, investment funds, and local and international institutions, in accordance with the relevant legal provisions.

  • 15- Utilizing research centers, institutions, and specialized consulting firms at both local and international levels; contributing to achieving the objectives for which the Authority was established.

Fourthly

  • The authority shall have a Board of Directors, whose chairman and members are appointed by a decree from the Prime Minister. The term of membership in the council shall be three (3) years, renewable once.

 

Fifthly

  • The Council is the authority responsible for managing the affairs of the Authority and conducting its matters, and it has the authority, within the limits of the arrangements, to take whatever decisions and procedures it deems appropriate to achieve its objectives, specifically including the following:

  • 1- Approving the general policies of the Authority and its operational and executive plans and programs.

  • 2- Approving the financial, administrative, and technical regulations of the Authority, provided that the approval of the administrative regulations is in agreement with the Ministry of Human Resources and Social Development, and the approval of the financial regulations and provisions with financial implications in other regulations is in agreement with the Ministry of Finance.

  • 3- Approving the organizational structure of the Authority.

  • 4- Approving the draft budget of the Authority, its final account, the report of its auditors, and its annual report, in preparation for submitting them according to the applicable legal procedures.

  • 5- Accepting donations, gifts, endowments, bequests, and grants in accordance with the regulations governing that.

  • 6- Appointing an external certified auditor (or more) and an internal financial controller.

  • 7- Approving the investment of the Authority's funds in a manner that achieves its objectives, in accordance with the applicable laws and instructions.

  • 8- Approving development plans, programs, and projects related to the work of the Authority prepared by government agencies and public institutions.

  • 9- Approving comprehensive strategic plans, studies, and programs, and updating them as necessary.

  • 10- Approving building regulations and land uses.

  • 11- Approving land subdivision plans.

  • The Council may delegate some of its powers to its Chairman or to any of its members or to the staff of the Authority, and form permanent or temporary committees from its members or others, assigning them tasks as it sees fit. The decision to form each committee shall specify its chairperson, members, and powers.

Sixthly

  • 1- The meetings of the Council are held at the headquarters of the Authority, chaired by the President of the Council or by a member designated by him. The President of the Council may, by decision, hold them in another location.

  • 2- The Council holds its meetings periodically (four) times a year, and the President of the Council may call for a meeting whenever necessary. The invitation to the meeting is sent by the Chief Executive Officer of the Authority - in writing - with the approval of the President of the Council, at least seven days prior to the meeting date, and the invitation must include the agenda. A meeting of the Council is not considered valid unless a majority of its members are present, including the President of the Council or a member designated by him, and decisions are made with the approval of at least a majority of the members present. In the event of a tie, the side that the President of the meeting voted with prevails.

  • 3- The Council may invite any officials or experts it deems appropriate to attend its meetings to provide any information and clarifications they have, without having the right to vote.

  • 4- The Authority shall notify the relevant agencies of the Council's decisions after they have been signed by the President of the Council, taking into account the completion of the legal procedures for decisions that require it.

  • 5- The Council may issue its decisions by circulation, in accordance with a regulation issued by the Council to organize its work.

  • 6- The deliberations and decisions of the Council are recorded in minutes signed by the President of the meeting and the attending members.

  • 7- A member may not abstain from voting, nor may they delegate another member to vote on their behalf in their absence.

Seventh

  • The Authority shall have a Chief Executive Officer appointed and dismissed by a Decision from the Council, which specifies his salary and other financial and functional benefits. He shall be the executive responsible for managing the Authority's affairs and operations, and he shall specifically exercise the following powers and responsibilities:

  • 1- Supervising the Authority's staff in accordance with the powers granted to him.

  • 2- Overseeing the Authority's technical, administrative, and financial operations in accordance with the Authority's technical, administrative, and financial regulations, and based on the approved policies in accordance with the arrangements.

  • 3- Proposing the organizational structure of the Authority.

  • 4- Proposing the administrative, financial, and technical regulations for the Authority, and supervising their implementation after approval.

  • 5- Following up on the implementation of the Decisions issued by the Council.

  • 6- Representing the Authority before the Judiciary, government agencies, and institutions within the Kingdom, and related bodies outside the Kingdom, and he may delegate others to do so.

  • 7- Preparing the Authority's budget draft, its final accounts, the report of its auditors, and its annual report, and submitting them to the Council for approval.

  • 8- Preparing reports related to the implementation of the Authority's plans, programs, and studies, and presenting them to the Council.

  • 9- Supervising the preparation for Council meetings and preparing its agenda.

  • 10- Appointing the Authority's staff in accordance with the Authority's administrative and financial regulations.

  • 11- Contracting with local and international experts and consultants.

  • 12- Any other task assigned to him by the Council or its Chairman.

  • The Chief Executive Officer may delegate some of his powers to other staff members of the Authority.

Eighth

  • The resources of the authority consist of the following:

  • 1- The financial allocations designated for it in the state’s general Budget.

  • 2- Donations, grants, gifts, and bequests.

  • 3- Revenues from its endowments in accordance with the rules established by the Council.

  • 4- Income obtained from its investment returns.

  • 5- Any other resource approved by the Council, provided it does not contravene the regulations and instructions.

Ninth

  • 1- The revenues of the authority shall be deposited in the current account of the Ministry of Finance at the Saudi Central Bank.

  • 2- The authority shall open an account for itself at the Saudi Central Bank, and it may open other accounts at any of the banks licensed to operate in the Kingdom, and withdrawals shall be made in accordance with the authority's budget and the approved regulations.
