Model Guideline for General Cooperation Agreement Projects

Desiring by the Government of the Kingdom of Saudi Arabia and the Government of ...... (hereinafter referred to as the Contracting Parties) to strengthen the bonds of friendship existing between the two countries, and to support the historical ties between their peoples, and to develop and support cooperation between their countries in the economic, commercial, investment, educational, scientific, technical, cultural, media, tourism, youth, and sports fields, and in appreciation of the benefits that can accrue to both countries as a result of enhancing cooperation between them in accordance with the regulations and laws in force in both countries; the two governments have agreed as follows:

Article 1

  • The contracting parties shall work to promote economic, commercial, and investment cooperation between their countries and among their citizens, both natural and legal persons. This cooperation includes, but is not limited to, the following:

    • 1. Cooperation in all economic fields, including industrial, petroleum, mining, petrochemical, agricultural, livestock, tourism, and health projects.

    • 2. Encouraging the exchange of knowledge and technical expertise necessary for specific cooperative programs.

  • The contracting parties shall exert their best efforts to encourage, expand, and diversify their commercial relationship within the framework of international commercial law.

Article 3

  • 1. The contracting parties shall work to encourage and facilitate the investments of citizens in all fields, except for the fields excluded according to the internal regulations in their respective countries.

  • 3. Encouragement of the establishment of investment projects in accordance with the applicable investment laws and regulations in both countries.

  • 4. The contracting parties shall exert their utmost efforts to conclude an agreement to encourage and protect investment between the two countries.

Article 4

  • 1. Encouraging the exchange of visits by representatives, delegations, and economic, commercial, and technical missions, whether they are from the government, public, or private sector.

  • 2. Encouraging participation in trade exhibitions held in both countries and providing the necessary facilities for that.

Article 5

  • The contracting parties shall work on the following:

    • 1. Encourage cooperation in the fields of education, scientific research, science, and technology through the exchange of information in areas of mutual interest, exchange of information related to scientific and technical research, exchange of visits between officials, researchers, experts, and specialists, training of researchers and technical assistants, and participation in seminars and scientific conferences of mutual interest.

    • 2. Encourage cooperation in cultural, sports, and youth fields by coordinating positions in international forums and exchanging programs between institutions, associations, and sports and youth federations, as well as exchanging visits and experiences between officials responsible for youth and sports affairs.

    • 3. Encourage cooperation in the fields of visual, audio, and printed media through the exchange of visits and experiences between public and private media institutions in programmatic and technical fields, exchange of audio, visual, and printed materials, and participation in related festivals.

    • 4. Encourage and develop tourism between the two countries by exchanging tourism information between them, and promoting group and individual tourism for the citizens of both countries.

Article 6

  • The contracting parties agree not to use the information exchanged between them except for the purposes designated for it according to what is agreed upon between them, and each party undertakes not to transfer any of the exchanged information between them to a third party without written consent from the other contracting party.

Article 7

  • The contracting parties shall work on concluding independent agreements in specific fields of mutual interest whenever the need arises.

Article 8

  • The contracting parties shall form a joint committee to follow up on the implementation of this agreement if necessary.

  • The contracting parties shall form a joint committee, which shall hold its meetings in coordination between them whenever necessary, to follow up on the implementation of this agreement, study the issues that hinder its implementation, and provide the necessary recommendations to achieve the desired objectives of the agreement. Its tasks shall include the following:

    • 1. Study and review ways to develop bilateral relations.

    • 2. Propose new areas for future cooperation or improve existing areas of cooperation between the institutions of the two countries.

    • 3. Follow up on the implementation of the current agreement.

Article 9

Previous Amendments
  • 1. This agreement shall enter into force from the date of the last mutual notification through diplomatic channels confirming the completion of the legal procedures for its ratification.

  • 2. The duration of this agreement is five years starting from the date of its entry into force and it shall be automatically renewed for one or more successive periods, each of one year, unless one party notifies the other party in writing of its desire to terminate it at least six months before the expiration of the effective period.

  • 3. In the event of termination of this agreement, its provisions shall remain in effect with respect to programs, projects, or agreements concluded under it, or contracts and obligations arising therefrom that have not been completed upon its termination, or rights that have arisen under it and have not yet been settled in accordance with its provisions, as well as with respect to the liquidation of positions and current financial entitlements before the termination of the agreement, whether they relate to governments or natural or legal persons.

  • 4. Any dispute arising regarding the interpretation or application shall be settled through consultations or negotiations between the parties.
