The amendment includes the following changes:
1- Amending the title of Article Eighteen to be: “Listing Requirements for the Entity Resulting from the Company’s Demerger.”
2- Amending Paragraphs (a), (b), (c), and (d) of Article Eighteen by replacing the term “the entity separated due to the merger” with “the entity resulting from the demerger.”
3- Amending Paragraphs (a), (b), (c), and (d) of Article Forty-Two by adding the phrase “in the Parallel Market” after the phrase “qualified investors.”
4- Amending Paragraph (d) of Article Forty-Two by adding the phrase “or employees participating in employee share programs in companies listed on the Parallel Market” after the phrase “a regulatory authority.”
5- Amending the market value requirement for shares owned by the public as stated in sub-paragraph (2) of Paragraph (b) of Article Forty-Three, where the previous wording was: “the market value of the shares owned by the public at listing shall not be less than SAR 30 million (whichever is less),” to become: "the market value of the shares owned by the public shall not be less than SAR 50 million, and not less than 10% of the public ownership of the class of shares subject to the listing application at the time of listing.”
